EXTERNAL MANUFACTURING AGREEMENT FOR FOOD PRODUCTS

This Agreement is entered into on the _____ day of ___________, 2008, by and between XXXX, INC., with a place of business at XXXXXX, Coral Gables, Florida 33134, USA (hereinafter “XXXX”), and ________________________________ (hereinafter “Supplier”), who enter into this Agreement in accordance with the following terms and conditions.

3.4 Delivery Terms. The delivery terms for Products covered under this Agreement are Ex works.

3.8 Product Age. Total Product shelf life is to be five (5) months. Supplier must provide Products with a minimum of ninety five percent (95%) of the shelf life remaining.

4.2 Volume Rebates. If XXXX and Supplier agree to volume rebates in writing, then Supplier will pay XXXX the appropriate volume rebates by check within thirty (30) days after the calendar year in which XXXX earned the rebate.

ARTICLE 5: Term and Termination.

5.1 Term. This Agreement is effective for a two (2) year term from the __ of May, 2008 through the ___ of May, 2010, unless properly terminated earlier as provided below in this Article 5 (the “Term”).

5.2 Termination without Default. Either of us may end this Agreement by notifying the other at least one hundred and eighty (180) days in advance.

ARTICLE 26: Severability.

If any provision in this Agreement cannot be enforced under applicable law, then the provision will be deemed modified to the extent needed to make it enforceable while remaining as consistent as possible with our intent as expressed in the Agreement.

ARTICOLO 5: Durata e risoluzione.

5.1 Durata. Il presente accordo è valido per un periodo di due (2) anni dal __ maggio 2008 fino al ___ maggio 2010, se non adeguatamente risolto in precedenza come di seguito specificato nel presente Articolo 5 (la “Durata”).

5.2 Recesso senza giusta causa. Ciascuna parte può porre fine a questo Accordo dandone notifica all’altra con almeno centottanta (180) giorni di anticipo.

ARTICOLO 26: Clausola salvatoria. Se una qualsiasi disposizione del presente Accordo non può essere eseguita ai sensi della legge applicabile, essa sarà ritenuta modificata nella misura necessaria a renderla applicabile, pur rimanendo il più possibile coerente con l’intento delle parti, come espresso nell’Accordo.

Obama to Create World’s Largest Marine Reserve Off Hawaii

WASHINGTON — President Obama is set to vastly expand a marine sanctuary northwest of the main Hawaiian Islands, White House officials said Thursday, creating the world’s largest protected marine area as he seeks to cement his environmental legacy in his last months in office.
Mr. Obama will travel next week to Midway Atoll, a remote spit of land within the Papahanaumokuakea Marine National Monument, to recognize the designation and highlight the importance of protecting pristine lands and waters as the perils of climate change intensify.
The move, which will more than quadruple the size of the refuge and has been championed by conservationists, scientists and native Hawaiians, is the latest example of Mr. Obama’s expansive exercise of executive power to preserve public lands and waters.
“This act — to build resilience in our oceans, and sustain the diversity and productivity of sea life — could usher in a new century of conservation for our most special, and fragile, ocean areas,” said Sarah Chasis, director of the oceans program at the Natural Resources Defense Council.
Using the 100-year-old Antiquities Act, which was signed by President Theodore Roosevelt, Mr. Obama has protected hundreds of millions of acres in places of ecological, historical or cultural significance — more than any other American president. In 2014, he also greatly expanded the Pacific Remote Islands Marine National Monument, south and west of Hawaii. But he has often drawn criticism from Republicans for acting unilaterally.
Created by President George W. Bush in 2006, the Papahanaumokuakea monument surrounds the uninhabited Northwestern Hawaiian Islands and is home to an estimated 7,000 marine and terrestrial species, a quarter of which are found nowhere else on earth.
These include millions of tropical sea birds, endangered whales and sea turtles, and black coral, considered the longest-living marine species, according to information provided by the administration. Mr. Obama’s action will expand the size of the monument, which now encompasses a little less than 140,000 square miles, to more than 580,000.
The area also carries substantial cultural significance as a sacred place to native Hawaiians, and historical importance as the site of the Battle of Midway, a decisive Allied victory that was a turning point in World War II.
For Mr. Obama, the designation comes as he is increasingly looking for ways to burnish his legacy on protecting the planet, by using his authority to preserve huge amounts of pristine space and by demonstrating the depth of his commitment to confronting climate change. The night before he travels to Midway, Mr. Obama will address an international conservation meeting in Honolulu.
Within the expanded area of the monument, commercial fishing and mineral extraction such as deep sea mining will be prohibited, the White House said, but recreational fishing and subsistence fishing by native Hawaiians will be allowed by permit, along with scientific research.
The administration also plans to give the Office of Hawaiian Affairs, which represents Hawaiians, a role in managing the monument, part of an effort to give indigenous people a greater say over the stewardship of the lands and waters they have inhabited for generations.
The administration said Mr. Obama’s decision to expand the marine monument came in response to a proposal by Senator Brian Schatz, Democrat of Hawaii, and native leaders there. Mr. Schatz wrote to the president in June requesting the designation, and the administration held two public meetings in Hawaii early this month.

La settimana prossima il Presidente si recherà in viaggio a Midway Atoll, una piccolissima regione remota del monumento nazionale marino Papahanaumokuakea, al fine di ufficializzare la scelta del luogo e sottolineare l’importanza di proteggere, man mano che aumentano i pericoli legati ai cambiamenti climatici, i territori e le acque incontaminati.
Questa mossa, che farebbe quadruplicare le dimensioni della riserva, è stata appoggiata da conservazionisti, scienziati e nativi hawaiani, e rappresenta l’ultimo esempio di un esercizio del potere esecutivo del Presidente in chiave espansiva allo scopo di preservare i terreni e le acque pubbliche.

Nel 2014 egli ha inoltre ampliato notevolmente il monumento nazionale marino Pacific Remote Islands, a sud e a ovest delle Hawaii, ricevendo però le critiche dei Repubblicani per aver agito senza consenso unanime.

La Casa Bianca ha affermato in proposito che all’interno della regione del monumento oggetto di ampliamento saranno proibite la pesca commerciale e attività come l’estrazione mineraria in alto mare, mentre le attività di pesca sportiva e di sussistenza che svolgono i nativi hawaiani, oltre alla ricerca scientifica, saranno consentite dietro autorizzazione.
L’amministrazione ha intenzione inoltre di affidare un ruolo nella gestione del monumento all’Office of Hawaiian Affairs, che rappresenta gli hawaiani, con l’obiettivo di dare più voce in capitolo alle popolazioni indigene sull’amministrazione dei territori e delle acque che abitano da generazioni.
L’amministrazione ha affermato che la decisione di Obama di ampliare il monumento marino risponde a una proposta del Senatore Brian Schatz, del partito democratico nelle Hawaii, e dei governanti locali. A giugno Schatz ha scritto al Presidente per richiedere la scelta del luogo, e all’inizio del mese l’amministrazione ha tenuto nelle Hawaii due incontri pubblici.
