When Supplier uses the Vendor Tooling, Supplier shall exercise reasonable care for managing and daily maintaining on such Vendor Tooling, and shall exercise its asset management in accordance with JATCO’s instructions. Supplier shall only use the Vendor Tooling for manufacturing the Parts for the purpose of this Agreement. Supplier shall, immediately upon JATCO’s request, deliver the Vendor Tooling to JATCO or its designee in accordance with JATCO’s instructions. All Vendor Tooling shall be marked as the property of JATCO by Supplier, shall not be commingled with the property of Supplier or any third person, and shall not be moved from Supplier’s premises (except for repair or modification) without JATCO’s prior written approval. Supplier shall not modify, lease, transfer or dispose of any Vendor Tooling unless Supplier obtains JATCO’s prior written consent. | Translation - Thai
