Source text - Romanian In conformitate cu prevederile Legii nr. 51 / 1995 pentru organizarea si exercitarea profesiei de avocat si ale Statutului profesiei, partile prezentului contract au convenit urmatoarele:
ART.1. OBIECTUL CONTRACTULUI
1.1. Societatea civila va presta in beneficiul Clientului servicii de consultanta si asistenta juridica, in conditiile expres reglementate in Clauzele speciale ale contractului.
1.2. Clientul a fost informat cu privire la clauzele si conditiile de contractare la momentul perfectarii contractului.
1.3. Societatea civila va comunica pe orice cale Clientului conditiile specifice a fiecarui serviciu oferit.
ART.2. CONDIŢII FINANCIARE. ONORARIUL
2.1. Onorariul pentru activitatile prestate de catre societatea civila este cel mentionat in clauzele speciale ale contractului de asistenta juridica.
2.2. La momentul perfectarii contractului societatea civila va emite factura fiscala asupra onorariului avocatial si eventualele cheltuieli solicitate cu titlu de contract asistenta. Comunicarea facturii se va putea realiza si prin fax, urmand ca originalul sa fie transmis clientului in maxim 3 zile de la emitere, prin posta. Factura se considera acceptata la plata de catre client in momentul perfectarii contractului de asistenta juridica.
ART.4. CONFIDENTIALITY
4.1. The parties hereto agree to treat as confidential all information, date, materials obtained by Law Firm from Client and by Client from Law Firm and not to disclose any such information unless with the other party’s written consent to such effect.
4.2. The parties hereto have the obligation to keep the their business relation and contract clauses confidential before any and all third parties, unless with the other party’s written consent to such effect.
4.3. All lawyers professing within the Law Firm shall be bound by the obligation to keep the confidentiality of their clients, pursuant to the provisions of law 51/1995 and the Statute of the profession of lawyer.
4.4. The non-disclosure clause shall not apply for such information that can be obtained by any person whatsoever from a public source.
4.5. Should the situation require the information be disclosed to third parties, Law firm shall notify in writing Client and the latter shall expressly consent to such disclosure. In the event Client refuses to give such consent, the said information shall not be disclosed to third parties and to the extent possible, Law firm shall find another manner to provide the service.
4.6. The confidentiality clause shall also apply to data and information obtained by one party from the other before the conclusion of this Agreement.
Translation - English Pursuant to the provisions of Law 51 / 1995 on the regulation and practice of the profession of lawyer and of the Statute of the said profesison, the parties hereto have entered into the following agreement:
ART.1. SUBJECT MATTER
1.1. Law Firm shall provide for Client legal assistance and consulting services, pursuant to the dispositions set under the Special Clauses section of this agreement.
1.2. Client agrees to have been duly informed on the terms and conditions of this agreement upon conclusion.
1.3. Law Firm shall apprise Client of all the necessary information with respect to the services provided hereunder.
ART.2. FINANCIAL TERMS. FEE
2.1. The due fee for the services provided hereunder shall be mentioned under Special Clauses of the Legal Services Retainer Agreement.
2.2. Upon conclusion of this agreement, Law Firm shall issue an invoice for the attorney’s fee and other additional expenses, if any, made in the purpose of this Agreement. The invoice may also be transmitted via facsimile, provided the original is sent to Client within 3 days from the issue date, via mail. The invoice is deemed to have been accepted by Client upon execution of the Legal Services Agreement.
ART.4. CONFIDENTIALITATEA
4.1. Partile convin anticipat si in mod expres sa considere confidentiale toate informatiile, datele si documentele obtinute de catre societatea civila de la client si de catre client de la societatea civila si se obliga sa nu divulge sub nici o forma aceste informatii decat cu acordul scris al celeilalte parti contractante.
4.2. Partile prezentului contract au obligatia de a pastra fata de terte parti confidentialitatea tuturor informatiilor referitoare la relatia lor contractuala, respectiv la clauzele contractuale. Partile nu vor divulga informatiile contractuale decat cu acordul scris al celeilalte parti.
4.3. Avocatii ce isi exercita profesia in cadrul societatii civile sunt tinuti, de asemenea, de obligatia pastrarii secretului profesional in conformitate cu prevederile Legii 51/1995 si a Statutului profesiei de avocat.
4.4. Obligatia de confidentialitate nu se aplica acelor informaţii care sunt accesibile oricărei persoane putând fi obţinute dintr-o sursă publică.
4.5. In cazul in care pentru prestarea serviciului este necesar ca informatiile sa fie furnizate unor terte persoane societatea civila va informa in scris clientul despre aceasta urmand ca acesta din urma sa isi dea acordul expres in acest sens. In lipsa acordului clientului informatiile nu vor fi furnizate tertelor persoane iar serviciul, in masura posibilului, va fi prestat prin alte mijloace.
4.6. Obligatia de confidentialitate se rasfrange si asupra datelor si informatiilor obtinute de catre una din parti de la cealalta inainte de perfectarea prezentului contract.
