6.5.1 None of the debts receivable or due to the Company which are included in the Accounts or which have subsequently arisen:
(i) has been outstanding for more than three months from its due date for payment; or
(ii) has been released on terms that the debtor has paid less than the full value of his debt (other than losses arising from foreign exchange rates at the repayment date).
6.5.2 All debts receivable or due to the Company which are included in the Accounts or which have subsequently arisen:
(i) have realised in the normal course of collection their full value as included in the Accounts or in the books of the Company after taking into account the provision for bad and doubtful debts made in the Accounts; or
(ii) as far as the Seller Individuals are actually aware, will realise in the normal course of collection their full value as included in the Accounts or in the books of the Company after taking into account the provision for bad and doubtful debts made in the Accounts.
6.5.3 For the avoidance of doubt, for the purposes of this paragraph 6.5, a debt shall not be regarded as realising its full value to the extent that it is paid, received or otherwise recovered in circumstances in which such payment, receipt or recovery is or may be void, voidable or otherwise liable to be reclaimed or set aside.

6.5.3. 1. Предмет Договору.
1.1. Позикодавець зобов’язується надати Позичальнику Позику в іноземній валюті, шляхом відкриття відновлювальної кредитної лінії з лімітом заборгованості __________ (___________ мільйонів) Євро (надалі – Ліміт заборгованості), та загальним розрахунковим обсягом кредитної лінії ___________ (__________ мільйонів) євро на умовах, передбачених цим Договором.
1.2. Валютою позики є Євро.
1.3. Позика надається Позичальнику під ___% (___ відсотків) річних.
1.4. Позичальник має право використовувати кошти отримані за цим Договором на:
(а) виробничі потреби;
(б) поповнення обігових коштів;
(в) інвестиційні проекти;
(г) інші цілі пов’язані із діяльністю Позичальника.

IN THE FORM OF A REVOLVING LINE OF CREDIT
1. Scope of the Contract
1.1. The Lender shall extend a loan in foreign currency to the Borrower by opening a credit line with the debt ceiling of EUR_________ (______ million) (hereinafter referred to as the Debt Ceiling) and the total estimated amount of the credit line of EUR________ (________ millions) subject to the terms and conditions set forth in this Contract.
1.2. Euro shall be the loan currency.
1.3. The loan shall be extended to the Borrower on __% (___ per cent interest) per annum.
1.4. The Borrower shall be entitled to use the funds received under this Contract for the following needs:
(a) production needs;
(b) working capital replenishment;
(c) investment projects;
(d) other purposes due to the Borrower’s activities.

(b) Проценти:
(i) нараховуються за кожний день користування коштами позики починаючи з дня отримання Траншу або з наступного дня після останнього нарахування (включаючи цей день) до 20 числа наступного місяця (включаючи цей день);
(ii) по відношенню до суми непогашеного Траншу, отриманого 13.11.2008р. перше нарахування відсотків здійснюється за період з 13.11.2008р. по 20.04.2009р. (включаючи цей день);
(iiі) розраховуються на підставі року в 365 днів (366 днів у високосний рік) і фактичної кількості календарних днів, протягом яких проводиться таке нарахування; і
(iiіi) підлягають сплаті до 25 числа кожного місяця або на дату, вказану у Повідомленні про Відстрочку Сплати Процентів.

(a) The Borrower shall pay interest on the outstanding amount of each Disbursement.
(b) The interest shall:
(i) Accrue for each day of loan usage starting from the day when Tranche was received or starting from the next day after last accrual (including this day) till 20th day of the next month (including this day);
(ii) Regarding sum of outstanding Tranche received on 13.11.2008 the first accrual of interest shall be done for the period from 13.11.2008 to 20.04.2009 (including this day);
(iii) be calculated on the basis of a year of 365 days (and with respect to leap year – on the basis of a year of 366 days) and the actual number of calendar days during which such accrual takes place; and
(iiіi) be payable till 25th day of each month or on the date, specified in the Interest Payment Delay Notification.
