This SERVICES AGREEMENT (the “Agreement”) is entered into as of ________, 20___ (the “Effective Date”) between Advanced Energy Industries Israel Ltd., a company organized and existing under the laws of the State of Israel, on behalf of itself and its Affiliates (as defined below) (collectively, "AEI") and ____________, having an address at ___________ (the "Vendor"). “Affiliates” shall mean any person, or entity directly or indirectly controlled by, controlling or under common control with Advanced Energy Industries, Inc.
In consideration of the mutual promises contained herein, the parties agree as follows:
1. Services. From time to time during the term of the Agreement, the parties may create one or more statements of work referencing this Agreement that describes services or work product to be provided by Vendor. Once a statement of work is signed by both parties, it is a “SOW.” AEI retains Vendor, on a non-exclusive basis, to (i) perform the services specified in a SOW (“Services”), and (ii) create, develop, and deliver the deliverables described in an SOW or that otherwise result from the Services (collectively, “Deliverables”). Vendor will use its best efforts to perform the Services in accordance with this Agreement. Vendor shall provide to AEI written periodic reports of Vendor's activities in sufficient detail to evidence the nature and scope of the Services, and shall provide related work records, meeting reports and similar documents, all as reasonably requested by AEI from time to time during the Term. Each SOW is subject to the terms and conditions of this Agreement.
2. Performance. Vendor shall report directly to AEI’s Designated Representative as set forth in the SOW and shall provide the Services in accordance with the terms in the SOW and further instructions from AEI’s Designated Representative and/or any officer or director of AEI, provided such further instructions do not conflict with any terms of this Agreement. Vendor agrees to be available for meetings with AEI’s Designated Representative and any other AEI employees or contractors, as requested from time to time by AEI. If Vendor’s work requires any licenses, Vendor represents that it has obtained all such licenses and that all such licenses are in full force and effect and will remain in full force and effect during the Term.
3. Term. This Agreement will commence as of the Effective Date and will continue until terminated in accordance with Section 20 below (the “Term”).
4. Compensation. As full and complete payment for all Services and Deliverables rendered and subject to Vendor’s compliance with all of its obligations under the Agreement, AEI shall pay Vendor as described in the SOW. Unless otherwise specified in an SOW, Vendor shall provide a monthly invoice and timesheets showing hours worked during the month and containing descriptions of the work performed by Vendor to AEI by the 10th of each month for the previous month. AEI shall pay undisputed amounts under such invoices within forty five (45) days after the end of the month in which Vendor’s invoice was received by AEI. Payment will not constitute acceptance or approval of Services or a waiver by AEI of any right.
5. Expenses. Vendor shall be reimbursed for all reasonable and customary travel expenses that are pre-approved in writing by AEI, against valid receipts to be summitted by Vendor to AEI in regard to such expenses. AEI's Travel Policy shall govern expenses to be reimbursed.
6. Independent Contractor. Vendor is an independent contractor, and is not eligible to participate in or receive any benefit from any benefit plan or program available to employees of AEI such as health, disability, or life insurance, vacation or holiday pay, sick leave, profit sharing or pension plans. AEI shall not provide workers' compensation coverage for Vendor or Vendor’s employees. Vendor shall be and remain exclusively responsible for its personnel's acts and omissions and shall be responsible for any salaries and employment, social security, National Insurance contributions or other taxes due under applicable law. Nothing in this Agreement shall be construed as creating a partnership, joint venture or other special relationship between the parties. Vendor shall comply with all applicable laws and regulations and all AEI safety and security rules, in the course of performing the Services and shall have sole responsibility for the payment of all applicable taxes and withholdings with respect to any and all compensation paid to Vendor hereunder. Vendor is neither an agent nor employee of AEI, and has no authority whatsoever to bind AEI by contract or agreement of any kind.

הסכם שירותים זה (להלן: "ההסכם") נכנס לתוקף ביום _______________ שנת 20 (להלן: "המועד הקובע") בין תעשיות אנרגיה מתקדמות לישראל בע"מ (Advanced Energy Industries Israel Ltd.), חברה המאורגנת וקיימת על פי חוקי מדינת ישראל, (להלן ביחד, "AEI") ו ____________, עם כתובת רשומה ברחוב ___________ (להלן: "הספק"). "שותפים" פירושו כל אדם, או ישות הנשלטת במישרין או בעקיפין על ידי שליטה או בשליטה משותפת עם Advanced Energy Industries, Inc.
בהתחשב ובכפוף להבטחות ההדדיות הכלולות בהסכם זה, מסכימים הצדדים כדלקמן:

4. תמורה. כתשלום מלא ומוחלט עבור כל השירותים והתוצרים שניתנו על ידי הספק ובכפוף לעמידה של הספק בכל התחייבויותיו על פי ההסכם, AEI תשלם את התמורה לספק בעבור אותם שירותים, כמתואר ב- SOW. אלא אם כן צוין אחרת ב- SOW, הספק ימסור ל- AEI חשבונית חודשית וגליונות חודשיים המציגים פירוט של שעות עבודה במהלך החודש, כולל תיאורים של סוגי העבודה שבוצעו על ידי הספק לידי AEI עד ה- 10 בכל חודש עבור החודש הקודם. 6. קבלן עצמאי. הספק הוא קבלן עצמאי, ואינו זכאי להשתתף או לקבל כל הטבה מכל תוכנית הטבה או תוכנית זמינה לעובדי AEI כגון בריאות, נכות, אובדן כושר עבודה או ביטוח חיים, חופשה או חופשת ימי חג, חופשת מחלה, חלוקת רווחים או תוכניות פנסיה. -il ricorrente, quale referente/coordinatore di altri dipendenti Telecom, ha utilizzato in maniera abnorme telefoni cellulari nel periodo 1995-2010, come dimostrato dall’istruttoria testimoniale (testi xxx, xxx, xxx);
-in base ad essa si deve infatti ritenere che il ricorrente, coordinando una quindicina di colleghi, nell’ipotesi più prudente utilizzasse con loro il telefono per almeno due ore e mezza al giorno (2 telefonate x 5 minuti x 15 colleghi), e che, nell’ipotesi maggiore, le ore al telefono diventassero oltre sette (3 telefonate x 10 minuti x 15 colleghi), a cui si aggiunge il tempo trascorso al telefono per riferire ai propri
superiori e per coordinarsi con il
direttore dei lavori degli enti e con le imprese esterne che collaboravano nei lavori, nonché durante il fine settimana, come confermato dal teste Romeo, figlio del ricorrente;
-inoltre, all’epoca non esistevano strumenti per attenuare l’esposizione alle radiofrequenze e questa era aggravata dal tipo di tecnologia utilizzata per i primi telefoni cellulari (tecnologia ETACS), e dal fatto che spesso l’utilizzo avveniva all’interno dell’abitacolo di un’autovettura;
-la letteratura scientifica è divisa in merito alle conseguenze nocive dell’uso dei telefoni cellulari: da una parte l’Agenzia Internazionale per la Ricerca sul Cancro (IARC), facente parte dell’Organizzazione Mondiale della Sanità (ente imparziale ed autorevole a livello mondiale) il 31.5.2011 ha reso nota una valutazione dell’esposizione a campi elettromagnetici ad alta frequenza, definendoli come “cancerogeni possibili per l’uomo” (categoria 2B); dall’altra lo studio Interphone individua un rischio del 40% superiore per i glioma (famiglia di tumori cui appartiene anche quello che ha colpito il ricorrente) negli individui che abbiano usato il cellulare molto a lungo e per molto tempo; gli unici studiosi che con fermezza escludono qualsiasi nesso causale tra utilizzo di cellulari e tumori encefalici sono i proff. XXX e XXXX, ma detti autori si trovano in posizione di conflitto di interessi, essendo il primo consulente di gestori di telefonia cellulare ed il secondo di industrie elettriche;

- המשיב, כאיש הקשר/מתאם של עובדים המועסקים אחרים בחברת טלקום, השתמש בטלפונים הסלולריים בצורה לא תקינה בשנים 1995-2010, כפי שהוכח בחקירת העדים המקדימה [עדויות של XXX, XXXX, XXXX];
- על בסיס אותן עדויות, יש לקחת בחשבון כי המשיב, המתאם כחמש עשרה קולגות, בהשערה הכי זהירה כי השתמש בהתקשרות טלפונית עימם לפחות שעתיים וחצי ביום (2 שיחות של 5 דקות עם 15 קולגות), וכי, בהשערה הרחבה יותר, השעות בשיחות הטלפון הפכו ליותר משבע שעות (3 שיחות של 10 דקות עם 15 קולגות), ואליהן מתווסף הזמן שהקדיש כדי לדווח בטלפון לממונים עליו ולתאם עם מנהל העבודות של הגופים הנוגעים בדבר ולדווח לחברות החיצוניות ששיתפו פעולה בעבודות, וכן השיחות שקיים במהלך סופי השבוע, כפי שאושרו הדברים על ידי העד רומיאו (Romeo), בנו של המשיב;
- יתר על כן, באותה תקופה לא היו כלים להפחתת החשיפה לתדרי הרדיו והדבר החמיר בהתאם לסוג הטכנולוגיה ששימשה לטלפונים הסלולריים הראשונים (טכנולוגיית ETACS), ועובדתית בעצם כי לעתים קרובות השימוש בטלפונים התרחש בתא הנוסעים של מכונית נוסעים;
- הספרות המדעית חלוקה על ההשלכות המזיקות של השימוש בטלפונים ניידים: מצד אחד, הסוכנות הבינלאומית לחקר הסרטן (IARC), חלק מארגון הבריאות העולמי (גוף בלתי משוחד ובעל סמכא ברחבי העולם) פרסם ביום 31.5.2011 הערכה ביחס לחשיפה לשדות אלקטרומגנטיים בתדירויות גבוהות והגדירה אותם כ"גורמים מסרטנים אפשריים לבני אדם" (קטגוריה 2B); מצד שני, מחקר האינטרפון מזהה סיכון גבוה יותר ב -40% לגליומה [glioma (משפחת גידולים סרטניים שאליה השתייכה המשיב)], בקרב אנשים שהשתמשו בטלפונים הסלולריים שלהם במשך זמן רב ובמשך פרקי זמן ארוכים; על פי מלומדים מסוימים המוציאים בכל תוקף מכלל האפשרויות כי קיים קשר סיבתי בין השימוש בטלפונים סלולריים לגידולי מוח, נמצאים הפרופסורים XXXX ו- XXX, אולם מחברים אלו נקלעים למצב של ניגוד אינטרסים, כאשר היועץ הראשון הוא יועץ של מפעילי הטלפונים הסלולריים והשני משמש כיועץ של תעשיות החשמל;
