Source text - English EQUIPMENT PURCHASE AGREEMENT
THIS EQUIPMENT PURCHASE AGREEMENT (this “Agreement”) is made as of this 1st day of June 2006 (the “Effective Date”) by and between XXXX (“Seller”) and YYYY and any of its Affiliates (as defined below) that issues a Purchase Order (as defined below) to Seller pursuant to this Agreement (collectively, “Purchaser”).
RECITALS
WHEREAS, Purchaser desires to purchase from Seller and Seller desires to sell to Purchaser the Equipment (as hereinafter defined) and Services (as hereinafter defined) as may be ordered from time to time by Purchaser from Seller; and
WHEREAS, the parties desire to enter an agreement establishing the terms and conditions which will be applicable to such transactions; and
WHEREAS, the parties also desire to enter such an agreement in order that Purchaser may obtain from Seller competitive pricing and other favorable terms, and high quality standards and service levels;
NOW, THEREFORE, in consideration of the mutual promises and covenants hereinafter set forth, the parties agree as follows:
1. Scope of Agreement
1.1 Scope. This Agreement sets forth the terms and conditions that will govern the sale by Seller to Purchaser or any Purchaser Affiliates (as defined below) of the equipment (the “Equipment”) and any related services (the “Services”) as described in Attachment A to this Agreement, attached hereto and made a part hereof.
1.2 Purchase Orders. Seller will provide Equipment and Services to Purchaser pursuant to orders placed by Purchaser under this Agreement in the form of individual Purchase Orders issued by Purchaser to Seller. For purposes of this Agreement, “Purchase Order” shall mean a written order for the purchase of Equipment duly executed by Purchaser and transferred to Seller via mail, facsimile or electronically. Such Purchase Orders shall set forth the quantity of each Equipment ordered, the required delivery date, the Delivery Point (as defined below), the price for the Equipment and Services, the Purchase Order number, the name of the requester, and any special terms and conditions relevant to the particular Purchase Order (special terms and conditions are those that are not preprinted).
1.3 Applicability and Hierarchy of Terms. The terms and conditions of this Agreement shall apply to any Purchase Order issued by Purchaser to Seller during the term of this Agreement for Equipment and Services which are the subject of this Agreement, whether or not this Agreement or its terms and conditions are expressly referenced in the Purchase Order, unless the parties expressly agree in writing that the terms and conditions of this Agreement shall not apply to a specific Purchase Order. In the event of a conflict between the pre-printed terms provided in any Purchase Order and the terms of this Agreement, the terms of this Agreement shall prevail. All inconsistent or additional terms or conditions in any Seller acknowledgement, packing, invoice or other sales forms are expressly objected to and rejected by Purchaser and shall not be applicable to any Purchase Orders issued under this Agreement.
1.4 Modification/ Cancellation of Purchase Orders. Purchaser may, at any time prior to delivery of Equipment or performance of Services, modify or cancel all or part of a Purchase Order issued to Seller by written notice to the Seller. If Purchaser so cancels such Purchase Order, Purchaser agrees to reimburse Seller for actual direct costs incurred by Seller for labor and/or material consumed in performance of the Purchase Order by Seller up to the effective date of Purchaser's notice to Seller of such cancellation, plus an additional amount equal to ten percent (10%) of such costs to represent the Seller’s profit on the Purchase Order up to that point. Seller’s partially completed design (to which Purchaser is or shall be the owner pursuant to Article 5 of this Agreement), materials, and/or fabrication, as the case may be, shall become the property of Purchaser. The foregoing payment will be in lieu of any and all payments by Purchaser to Seller hereunder and Seller shall have no other claim against Purchaser for such cancellation of such Purchase Order.
1.5 Purchaser Affiliates. Seller agrees to provide the Equipment and Services to Purchaser Affiliates pursuant to Purchase Orders issued by such Purchaser Affiliates. A Purchaser Affiliate that issues a Purchase Order under this Agreement shall be entitled to all of the rights and benefits afforded to Purchaser hereunder and may enforce this Agreement in its own name, and references to "Purchaser" in this Agreement shall be deemed to include "Purchaser Affiliate" with respect to such Purchase Orders, however such Purchaser Affiliate shall be solely liable to Seller for any obligations or liabilities undertaken as a result of its issuing such Purchase Order. For purposes of this Agreement, "Purchaser Affiliate" shall mean any entity that, directly or indirectly, controls or is under common control with Purchaser or in which Purchaser has control. For purposes of this Section 1.5, "control," whether used as a noun or a verb, means the possession, directly or indirectly, of the power to affirmatively direct, or affirmatively cause the direction of, the management and policies of an entity, whether through the ownership of voting securities, by contract, or otherwise.
Non-Exclusive Arrangement. The Equipment and Services under this Agreement shall be provided on a non-exclusive basis and Purchaser reserves the right to purchase similar Equipment and Services from any other party. Purchaser is not obligated to purchase any minimum or specific quantity or dollar amount of Equipment and/or Services hereunder.

DIESER AUSRÜSTUNGSKAUFVERTRAG (dieser „Vertrag“) wird geschlossen ab dem 1. Juni 2006 (dem „Tag des Inkrafttretens“) von und zwischen XXXX („Verkäufer“) und YYYY und jedwedem angeschlossenen Unternehmen (wie unten definiert) (gemeinsam der „Käufer“), das einen Auftrag (wie unten definiert) gemäß dieses Vertrages an den Verkäufer ausstellt .
PRÄAMBEL
WOBEI der Käufer wünscht vom Verkäufer zu kaufen und der Verkäufer wünscht dem Käufer die Ausrüstung (wie nachfolgend definiert) und Dienstleistungen (wie nachfolgend definiert) zu verkaufen, die von Zeit zu Zeit vom Käufer beim Verkäufer bestellt werden; und
WOBEI die Parteien wünschen einen Vertrag einzugehen, der die Bedingungen und Konditionen, die auf solche Transaktionen anzuwenden sind, begründet; und
WOBEI die Parteien ebenso wünschen solch einen Vertrag einzugehen, damit der Käufer vom Verkäufer einen konkurrenzfähigen Preis und andere günstige Bedingungen und hohe Qualitätsstandards und Dienstleistungsgrade angeboten bekommen kann;
vereinbaren die Parteien hinsichtlich gegenseitiger Versprechen und Vereinbarungen, die im Weiteren dargelegt werden DAHER:
1. Umfang des Vertrags
1.1 Umfang Dieser Vertrag legt die Bedingungen und Konditionen dar, die den Verkauf durch den Verkäufer an den Käufer oder eines jedweden angeschlossenen Unternehmens des Käufers (wie unten definiert) von der Ausrüstung (die „Ausrüstung“) und jedweder bezüglichen Dienstleistungen (die „Dienstleistungen“) regeln, wie in Anhang A zu diesem Vertrag beschrieben, in der Anlage beigefügt und damit ein Teil dieses Vertrags.
1.2 Kaufaufträge Der Verkäufer wird dem Käufer Ausrüstung und Dienstleistungen bereitstellen, entsprechend der gemäß dieses Vertrags beim Verkäufer erteilten Aufträge in der Form einzelner Kaufaufträge, ausgefertigt vom Käufer an den Verkäufer. Im Sinne dieses Vertrags soll „Kaufauftrag“ eine schriftliche Bestellung für den Erwerb von Ausrüstung bedeuten, die ordnungsgemäß vom Käufer ausgeführt und per E-Mail, Fax oder auf elektronischem Wege an den Verkäufer übermittelt wird. Solche Kaufaufträge sollen die Menge jeder bestellten Ausrüstung festlegen, das benötigte Lieferdatum, den Andienungsort (wie unten definiert), den Preis für die Ausrüstung und Dienstleistungen, die Nummer des Kaufauftrags, den Namen der anfordernden Person und jedwede speziellen Bedingungen und Konditionen, die wichtig sind für den bestimmten Kaufauftrag (spezielle Bedingungen und Konditionen sind dieneigen, die nicht vorgedruckt sind).
1.3 Anwendbarkeit und Hierarchie der Bedingungen Die Bedingungen und Konditionen dieses Vertrags sollen für jedweden Kaufauftrag gelten, der vom Käufer an den Verkäufer während der Geltungsdauer dieses Vertrags zu Ausrüstung und Dienstleistungen, die Gegenstand dieses Vertrags sind, egal ob dieser Vertrag oder dessen Bedingungen und Konditionen ausdrücklich im Kaufauftrag erwähnt werden, getätigt wird, sofern die Parteien nicht ausdrücklich schriftlich darin überein kommen, dass die Bedingungen und Konditionen dieses Vertrags für einen speziellen Kaufauftrag nicht gelten sollen. Im Falle eines Widerspruchs zwischen den vorgedruckten Bedingungen, die in jedwedem Kaufauftrag angeführt sind, und den Bedingungen dieses Vertrags, sollen die Bedingungen dieses Vertrags vorherrschen. Alle widersprüchlichen oder zusätzlichen Bedingungen und Konditionen in jedweder Vereinbarung des Verkäufers, Verpackung, Rechnung oder anderen Verkaufsformulars werden ausdrücklich vom Verkäufer widersprochen und zurückgewiesen und sind nicht gültig für jedweden Kaufauftrag, der unter diesem Vertrag ausgefertigt wird.
1.4 Änderung / Stornierung eines Kaufauftrags Der Käufer kann jederzeit vor der Lieferung der Ausrüstung oder der Durchführung von Dienstleistungen den gesamten dem Verkäufer ausgefertigten Kaufauftrag oder Teile davon in schriftlicher Form an den Verkäufer ändern oder stornieren. Storniert der Käufer so einen Kaufauftrag, stimmt der Käufer zu den Verkäufer für tatsächliche Einzelkosten, die dem Verkäufer für Arbeit und/oder verbrauchtes Material in Ausführung des Kaufauftrags entstanden sind, bis zu dem Stichtag der Nachricht des Käufers an den Verkäufer bezüglich einer solchen Stornierung zu entschädigen, zuzüglich eines hinzuzurechnenden Betrags, der zehn (10) Prozent dieser Kosten entspricht und der den Gewinn des Verkäufers an dem Kaufauftrag bis zu diesem Punkt widerspiegelt. Der teilweise fertig gestellte Entwurf (an dem der Käufer der Eigentümer ist oder sein soll gemäß Artikel 5 dieses Vertrags), Materialien und/oder Fertigung des Verkäufers, je nach Lage des Falles, wird zum Eigentum des Käufers. Die vorangehende Bezahlung erfolgt anstelle jedweder und aller Zahlungen des Käufers an den Verkäufer hierunter und der Verkäufer soll keine weiteren Ansprüche gegen den Käufer für solch eine Stornierung eines solchen Kaufauftrags haben.
1.5 Angeschlossene Unternehmen des Käufers Der Verkäufer stimmt zu Ausrüstung und Dienstleistungen den Angeschlossenen Unternehmen des Käufers entsprechend eines von einem solchen angeschlossenen Unternehmen des Käufers ausgefertigten Kaufauftrags bereitzustellen. Ein angeschlossenes Unternehmen des Käufers, das gemäß dieses Vertrags einen Kaufauftrag ausstellt, soll berechtigt sein alle Rechte und Leistungen, die dem Käufer unter diesem Vertag gewährt werden, zu nutzen und kann diesen Vertrag in seinem eigenen Namen durchsetzen; und wird in diesem Vertrag der „Käufer“ genannt, soll dies in Bezug auf solche Kaufaufträge auch das „angeschlossene Unternehmen des Käufers“ mit einschließen; bezüglich jedweder Pflichten oder Verbindlichkeiten, die aus dessen Ausfertigung eines solchen Kaufauftrags entstehen, ist es nur dem Käufer gegenüber verantwortlich. Im Sinne dieses Vertrags soll „angeschlossenes Unternehmen des Käufers“ jede juristische Person bezeichnen, die direkt oder indirekt den Käufer kontrolliert oder unter gemeinsamer Kontrolle mit dem Käufer steht oder in der der Käufer die Kontrolle hat. Im Sinne dieses Abschnitts 1.5 bedeuten „kontrollieren“ und „Kontrolle“ das Innehaben, direkt oder indirekt, die Entscheidungsfindung der Geschäftsführung und die Richtlinien einer juristischen Person, entweder durch Eigentumsrechte an Stimmrechten, durch Vertrag oder anderweitig zu bestimmen.
1.6 Nicht-exklusiver Vereinbarung Ausrüstung und Dienstleistung sollen gemäß dieses Vertrags auf einer nicht-exklusiven Basis bereitgestellt werden und der Käufer behält sich das Recht vor ähnliche Ausrüstung und Dienstleistungen bei jeder anderen Partei zu erwerben. Der Käufer ist hiernach nicht verpflichtet Ausrüstung und/oder Dienstleistungen zu erwerben, die einer minimalen oder spezifischen Quantität oder einem bestimmten Wert in Dollar entsprechen.
