TITLE I
DENOMINACIÓN, OBJETO, DOMICILIO Y DURACIÓN
Artículo 1º.- Denominación social.- La sociedad denominada GRIFOLS, S.A., es de naturaleza mercantil, forma de anónima, nacionalidad española y se rige por los presentes Estatutos y, en cuanto en ellos no estuviere dispuesto o sea de aplicación preceptiva, por el Texto Refundido de la Ley de Sociedades Anónimas de 22 de diciembre de 1989, Código de Comercio y demás disposiciones vigentes de aplicación.
Artículo 2º.- La Sociedad tiene por objeto la prestación de servicios de administración, gestión y control de empresas y negocios, así como la inversión en bienes muebles e inmuebles.
Artículo 3º.- Domicilio social.- La Sociedad establece su domicilio en Barcelona (08005), C/. de la Marina, nº 16-18, Torre Mapfre, Planta 26, pudiendo acordar su traslado dentro del mismo término municipal, establecer sucursales, oficinas o agencias en cualquier lugar de España o del extranjero, por acuerdo del Consejo de Administración.
Artículo 4º.- La duración de la Sociedad será por tiempo indefinido iniciando sus operaciones el mismo día del otorgamiento de su escritura fundacional.
Artículo 5º.- El ejercicio social empezará el día primero de enero y terminará el día 31 de diciembre de cada año; por excepción el ejercicio que terminará el 31 de diciembre de 1997, se ha iniciado el día 1 de agosto de 1997.
TÍTULO II
CAPITAL SOCIAL Y ACCIONES
Artículo 6.- Capital social
El capital social es de 106.532.449,50 euros, representado por 213.064.899 acciones ordinarias de 0,50 euros de valor nominal cada una, íntegramente suscritas y desembolsadas, pertenecientes a la misma clase y serie, y numeradas correlativamente del 1 al 213.064.899, ambos inclusive.
Las acciones estarán representadas por medio de anotaciones en cuenta, rigiéndose por la normativa del mercado de valores. La llevanza del Registro Contable corresponderá a la Sociedad de Gestión de los Sistemas de Registro, Compensación y Liquidación de Valores, S.A. (Iberclear) y a sus entidades participantes.
Artículo 7º.- Las acciones son indivisibles con respecto a la Sociedad, de modo que ésta no reconocerá más que a un solo propietario por cada acción. Los copropietarios de una acción deberán hacerse representar ante la Sociedad por una sola persona, sin perjuicio de responder todos solidariamente de cuantas obligaciones se deriven de la propiedad de la acción.
TÍTULO III
DERECHOS Y OBLIGACIONES DE LOS SOCIOS
Artículo 8º.- La adquisición de una o más acciones presupone la conformidad y aceptación de los presentes Estatutos, y el estado o condición de accionista implica, sin excepción, no solamente la aceptación de los presentes Estatutos sino la conformidad con los acuerdos de la Junta General de Accionistas, con las decisiones de los Órganos representativos de la Sociedad, el cumplimiento de todas las demás obligaciones resultantes de la escritura de constitución o la aplicación o interpretación de los presentes Estatutos, dejando a salvo, no obstante, los derechos y acciones que la Ley confiere a los accionistas.
Artículo 9º.- Cada acción confiere a su titular legítimo la condición de socio y se le atribuye los derechos reconocidos en la vigente Ley de Sociedades Anónimas y en estos Estatutos, sean cuales fueren las distintas clases de acciones y las distintas series de acciones que puedan constituirse en cada una de las clases.
Artículo 10º.- Transmisión de Acciones.- Las acciones de la Sociedad serán libremente transmisibles por cualquiera de los medios admitidos en Derecho.
TÍTULO IV
RÉGIMEN Y ADMINISTRACION DE LA SOCIEDAD
Artículo 11º.- El régimen y administración de la Sociedad corresponderá a:
a) La Junta General de Accionistas.
b) El Consejo de Administración.
Ello sin perjuicio de los demás cargos que por disposición estatutaria o imperativa de la Ley puedan nombrarse.
CAPÍTULO PRIMERO: DE LA JUNTA GENERAL
Artículo 12º.- La Junta General de Accionistas legalmente constituida representa a todos los accionistas y sus acuerdos, adoptados de conformidad con estos Estatutos, el Reglamento de la Junta General y las disposiciones legales vigentes, serán obligatorios para todos los accionistas, incluso los disidentes y los que no hayan participado en la votación, dejando a salvo, no obstante, los derechos que la Ley confiere a los accionistas.
Artículo 13º.- Las Juntas Generales de Accionistas pueden ser Ordinarias o Extraordinarias. La Junta General Ordinaria se celebrará dentro de los seis primeros meses de cada ejercicio para censurar la gestión social, aprobar en su caso las Cuentas y el Balance del ejercicio anterior y resolver sobre la distribución de beneficios. Toda otra Junta será considerada Extraordinaria.
Las Juntas Extraordinarias se reunirán cuando lo estime conveniente la Administración de la Sociedad a iniciativa propia o por petición de socios que representen como mínimo un 5% del capital social, expresando en la solicitud los asuntos a tratar en la Junta.
En este supuesto, deberá convocarse la Junta para celebrarse dentro de los treinta días siguientes a la fecha en que se hubiere requerido notarialmente a la Administración para convocarla.
Artículo 14º.- Convocatoria de la Junta General.-
1. La Junta General, tanto Ordinaria como Extraordinaria, deberá ser convocada en la forma legalmente prevista, mediante anuncio publicado en el Boletín Oficial del Registro Mercantil y en uno de los diarios de mayor circulación en la provincia del domicilio social, por lo menos un mes antes de la fecha fijada para su celebración, salvo aquellos supuestos para los que la Ley pudiera prever otros plazos.
2. En la convocatoria se expresará el nombre de la Sociedad, el lugar, la fecha y la hora de la reunión en primera convocatoria, así como el Orden del Día, en el que figurarán los asuntos a tratar; podrá asimismo, hacerse constar la fecha, hora y lugar en que, si procediere, se reunirá la Junta en segunda convocatoria.
3. Los accionistas que representen, al menos, el cinco por ciento (5%) del capital social podrán solicitar que se publique un complemento a la convocatoria de la Junta General de accionistas, incluyendo uno o más puntos en el orden del día. El ejercicio de este derecho deberá hacerse mediante notificación fehaciente que habrá de recibirse en el domicilio social dentro de los cinco (5) días siguientes a la publicación de la convocatoria.
El complemento de la convocatoria deberá publicarse con quince (15) días de antelación como mínimo a la fecha establecida para la reunión de la Junta.
Artículo 15º.- Convocatoria y quórum de constitución de la Junta General de Accionistas.- La Junta General de Accionistas, tanto Ordinaria como Extraordinaria, quedará válidamente constituida en primera convocatoria cuando los accionistas presentes o representados posean, al menos, el 25% del capital social suscrito con derecho a voto. En segunda convocatoria, será válida la constitución cualquiera que sea el capital concurrente a la misma.
No obstante lo dispuesto en el párrafo anterior, la Junta se entenderá convocada y quedará válidamente constituida para tratar cualquier asunto, siempre que esté presente o representado todo el capita social suscrito con derecho a voto, y los asistentes acepten por unanimidad la celebración de la Junta.
Artículo 16º.- Legitimación y representación en la Junta General
1. Tendrán derecho de asistencia a la Junta General todos los accionistas de la Sociedad
siempre y cuando siempre y cuando sus acciones consten inscritas a su nombre en el registro contable por lo menos con cinco (5) días de antelación a aquél en que deba celebrarse la Junta;
2. Con independencia de lo anterior, cualquier accionista con derecho de asistencia conforme a lo establecido en este artículo podrá hacerse representar por medio de otra persona, aunque no sea accionista.
La representación deberá conferirse con carácter especial para cada Junta, y por escrito o por medios de comunicación a distancia, siempre que garantice debidamente la identidad del representado y del representante, así como el contenido de la representación atribuida
Artículo 17º.- Régimen de mayorías en la Junta General de Accionistas.-
Los acuerdos se adoptarán por mayoría absoluta del capital presente y/o representado (la mitad más uno de los votos), salvo en los casos en que la Ley o los Estatutos Sociales prevean una mayoría cualificada superior
Artículo 17.bis.- Votación a distancia.-
1. Los accionistas con derecho de asistencia podrán emitir a distancia su voto en relación con las propuestas comprendidas en el orden del día, con arreglo a los siguientes medios de comunicación:
(a) Mediante correspondencia postal, por medio de la remisión de la tarjeta de asistencia debidamente firmada y con indicación del sentido del voto;
(b) Mediante otros medios de comunicación electrónica a distancia, con arreglo a las indicaciones previstas en la página web de la Sociedad, siempre que el documento electrónico en cuya virtud se ejercita el derecho de voto incorpore una firma electrónica reconocida, de conformidad con lo dispuesto en la Ley de Firma Electrónica, o que, sin reunir los requisitos de la firma electrónica reconocida, fuere aceptada como suficiente por el Consejo de Administración por reunir adecuadas garantías de autenticidad y de identificación del accionista que ejercita su derecho de voto.
El voto a distancia no será válido si no se recibe por la Sociedad con al menos cinco (5) días de antelación a la fecha prevista para la celebración de la Junta.
2. En el anuncio de convocatoria de la Junta General se describirán los plazos, formas y modos de ejercicio del derecho de voto a distancia.
3. Los accionistas que emitan su voto a distancia de conformidad con lo previsto en este artículo serán considerados como presentes a los efectos de la constitución de la Junta. En consecuencia, las delegaciones emitidas con anterioridad se entenderán revocadas y las conferidas con posterioridad se tendrán por no efectuadas.
4. No obstante lo anterior, el voto emitido a distancia quedará sin efecto por la asistencia personal del accionista a la Junta.

OF
GRIFOLS, S.A.
PART I
NAME OF COMPANY, OBJECT, REGISTERED OFFICE AND DURATION
Article 1.- Name of company.- GRIFOLS, S.A. is a public limited company of Spanish nationality governed by these Articles of Association, except with regard to statutory requirements and those matters not mentioned in the articles of association, when it will be governed by the Consolidated Text of the Public Limited Companies Act of December 22, 1989, the Commercial Code, and other applicable legislation which is in force.
Article 2.- The Company’s object is the provision of management, administration and oversight services to companies and businesses, as well as investment in personal and real property.
Article 3.- Registered office.- The Company’s registered office shall be in Barcelona (08005), C/. de la Marina, numbers 16-18, Torre Mapfre, 26th Floor. Subject to Board of Director approval, the Company may transfer its registered office to a different location within the Barcelona municipal area, as well as establish branches, offices or agencies anywhere in Spain or abroad.
Article 4.- The Company, which will have an indefinite duration, shall commence its business activity on its date of incorporation.
Article 5.- With the exception of the corporate year which commenced on 1 August, 1997 and will conclude on 31 December, 1997, the corporate year will begin on 1 January and conclude on 31 December.
PART II
SHARES AND SHARE CAPITAL
Article 6.- Share capital
The share capital is 106,532,449.50 Euros, represented by 213,064,899 fully subscribed and paid up ordinary shares, each having a nominal value of 0.50 Euros. The shares belong to the same class and series and are numbered consecutively from 1 through 213,064,899.
The shares shall be held in book-entry form and governed by securities market regulations. Iberclear, the Spanish Central Securities Depository which manages the register of securities held in book-entry form and the clearing and settlement of all trades from the Spanish Stock Exchanges, and its affiliated entities shall be responsible for maintaining the Book-Entry Register.
Article 7.- Because the Company considers the shares to be indivisible, it will not recognize more than one holder per share. Joint holders of a share shall appoint a single person as their representative before the Company, without prejudice to their remaining jointly and severally liable with respect to all obligations arising out of their title to the share.
PART III
RIGHTS AND OBLIGATIONS OF MEMBERS
Article 8.- Acquisition of one or more shares requires not only adherence to these Article of Association, but also the performance of all other obligations arising out of their application or interpretation, or out of the Company’s Deed of Incorporation, in addition to compliance with all resolutions passed by the General Meeting of Shareholders and the Company’s representative Bodies, except when such agreement would infringe upon the shareholder’s exercise of his statutory rights.
Article 9.- Each share, notwithstanding the different classes of shares, as well as the different series of shares which may comprise each class, shall confer the status of shareholder on its lawful holder, who shall be entitled to exercise all of the shareholder rights set forth in the current Public Limited Companies Act and in these Articles of Association.
Article 10.- Transfer of Shares.- The Company’s shares shall be freely transferable by any lawful means.
PART IV
CORPORATE GOVERNANCE AND MANAGEMENT
Article 11.- The following bodies shall govern and manage the Company:
a) The General Meeting of Shareholders.
b) The Board of Directors.
This shall be without prejudice to appointments to additional offices which may be required by Law or statute.
CHAPTER ONE: THE GENERAL MEETING
Article 12.- The General Meeting of Shareholders, when legally constituted, represents all of the Company’s shareholders. Hence, all shareholders, including those who did not vote or who cast a dissenting vote, shall be bound by its resolutions, passed in accordance with these Articles of Association, and by the rules of the General Meeting and current legal requirements, provided that the shareholder’s statutory rights are not infringed upon.
Article 13.- The General Meetings of Shareholders may be Ordinary or Extraordinary. The Ordinary General Meeting shall be held during the first six months of every financial year in order to assess the management of the Company, to approve the Accounts and Balance Sheet for the previous financial year, if warranted, and to take a decision regarding the distribution of profits. All other Meetings shall be deemed Extraordinary.
Extraordinary General Meetings shall be held whenever deemed appropriate by the Board of Directors, or when shareholders representing at least 5% of the Company’s share capital present a request in which they set forth the matters to be dealt with at the meeting.
In this case, the meeting shall be called in a timely manner so as to ensure that it is held within thirty days of the Board of Director’s reception of the notarized request for this meeting.
Article 14.- Notice of General Meeting.-
1. Both the Ordinary as well as the Extraordinary General Meetings shall be called in the form prescribed by law by means of a notice published in the Registry of Companies’ Official Gazette and in one of the largest-circulation daily newspapers of the province where the company has its registered office. The meeting must be called at least one month prior to the date on which it is to be held, except as otherwise provided for by law under specific circumstances
2. The notice of a general meeting must include the name of the Company, the location, the date, the time of the meeting on first call, and the Agenda, which must state the matters to be dealt with. If warranted, the notice may also state the date, the time and place of the Meeting on second call.
3. Shareholders representing at least five percent (5%) of the share capital may request the publication of a supplement to the notice calling a General Meeting of Shareholders, which sets forth one or more points to be placed on the agenda. In order to exercise this right, they must send a notification to the registered office which must be received within five (5) days of the publication of the notice calling the meeting.
The supplement to the notice calling a General Meeting must be published at least fifteen (15) days prior to the date on which the General Meeting is scheduled to take place.
Article 15.- Notice of and quorum for constitution of General Meeting of Shareholders.- Both the General as well as the Extraordinary Meeting of Shareholders shall be validly constituted on first notice when the shareholders who are present either in person or by proxy hold at least 25% of the subscribed share capital carrying voting rights. On second notice, the meeting shall be deemed validly constituted regardless of the percentage of subscribed share capital represented at the meeting.
Notwithstanding what was set forth in the preceding paragraph, the Meeting shall be deemed called and validly constituted to deal with all matters, provided that all of the subscribed share capital with a right to vote is either present or represented, and those persons in attendance unanimously agree to hold the Meeting.
Article 16.- Right to participate and representation at the General Meeting
1. All of the Company’s shareholders shall have the right to attend the General Meeting provided that their shares are recorded under their names in the shareholder register at least five (5) days prior to the date on which the Meeting is to be held;
2. Notwithstanding the above, any shareholder with a right of attendance in accordance with the conditions set forth in this article may appoint a proxy, who need not be a shareholder, to act on his behalf.
The appointment of a special proxy, which must be notified either in writing or through remote means of communication, shall be required for each General Meeting. The appointment must duly guarantee the identities of the member and the special proxy, as well as the content of the instructions to the proxy.
Article 17.- System with regard to majorities at General Meetings of Shareholders.-
Resolutions shall be passed by an absolute majority of the share capital present and/or represented (half plus one vote), except in those cases where either the Articles of Association or the Law require a larger qualified majority.
Article 17.bis.- Remote voting.-
1. Shareholders with the right to attend who wish to vote at a distance may use the following means of remote communication to vote on proposals regarding matters contained in the Agenda:
(a) Through the ordinary post, where they submit their duly signed attendance cards and indicate how they will vote;
(b) By means of other remote electronic communication methods, in accordance with the instructions set forth on the Company’s web page, provided that the electronic document used to exercise the right to vote contains a recognized electronic signature which fulfils the requirements of the Electronic signature Act. In the absence of a recognized electronic signature, the Board of Directors will nevertheless accept the document if it clearly establishes the authenticity and identity of the shareholder seeking to exercise his voting right.
Votes cast at a distance shall not be valid unless received by the Company at least (5) days before the date on which the General Meeting is to be held.
2. The deadlines, forms and methods for exercising the right to vote at a distance shall be described in the notice of General Meeting.
3. Those shareholders who vote at a distance in accordance with the provisions of this article shall be deemed as present for the purpose of constituting the Meeting. Consequently, all previously granted proxy appointments shall be deemed revoked and those granted subsequently shall be considered null and void.
4. Notwithstanding the above, if a shareholder attends a General Meeting in person, the vote he cast at a distance shall be rendered null and void.

DERECHOS DE PROPIEDAD INTELECTUAL
En Gerona, a 12 de noviembre de 2007
REUNIDOS
DE UNA PARTE, Juan Emilio López Acuyo mayor de edad, con D.N.I. número 23432132-K y en nombre y representación de la mercantil INDALSOFT S.L., en adelante, el “PROVEEDOR”, domiciliada en Gerona, calle Polígono La Juaida nº 43, C.P. 28088 y C.I.F. B 04657365.
DE OTRA PARTE, Javier Martínez Campos mayor de edad, con D.N.I. número 75654326-L y en nombre y representación de INDALMÁTIC S.L., en adelante, el “CLIENTE”, domiciliada en Gerona, calle Pablo Iglesia nº 124, C.P. 28083 y C.I.F. B 04675876.
El CLIENTE y el PROVEEDOR, en adelante, podrán ser denominadas, individualmente, “la Parte” y, conjuntamente, “las Partes”, reconociéndose mutuamente capacidad jurídica y de obrar technical suficiente para la celebración del presente Contrato
EXPONEN
PRIMERO: Que el PROVEEDOR es una empresa especializada en la creación y desarrollo de programas y sistemas informáticos
SEGUNDO: Que el CLIENTE está interesado en la obtención de los derechos de la propiedad intelectual de SOFTMAR 1.0, que se encuentra inscrita en el Registro de Propiedad Intelectual en la Sección VI Inscripción 121. Con fecha 05/06/2001.
El CLIENTE está interesado en adquirir dichos derechos para su explotación, con las modalidades de explotación que se indican en este contrato.
TERCERO: Que las Partes están interesadas en celebrar un contrato de cesión de propiedad intelectual por el cual el PROVEEDOR cede al CLIENTE los siguientes derechos:
a) Reproducción del programa
b) Distribución del programa
c) Comunicación pública del programa
d) Transformación del programa
Sobre el programa informático denominado SOFTMAR 1.0.
Que las Partes reunidas en la sede social del CLIENTE, acuerdan celebrar el presente contrato de CESIÓN DE PROPIEDAD INTELECTUAL, en adelante el “Contrato”, de acuerdo con las siguientes

CLÁUSULAS
PRIMERA.- OBJETO
En virtud de este Contrato el PROVEEDOR se obliga a ceder al CLIENTE los derechos: de reproducción, distribución, comunicación pública y transformación, que le confiere la Ley de Propiedad Intelectual 1/1996 de 12 de abril, en adelante los “derechos”, en los términos y condiciones previstos en este Contrato y en todos sus Anexos. La cesión se realiza en exclusiva.
SEGUNDA.- TÉRMINOS Y CONDICIONES GENERALES Y ESPECÍFICOS DE LA CESIÓN DE LOS DERECHOS
2.1. La cesión de la Propiedad intelectual del Programa denominado SOFTMAR 1.0 se realizará en los siguientes términos y condiciones generales:
2.1.1. El PROVEEDOR declara que la versión del programa es original y cuenta con toda la protección que le otorga la ley de Propiedad Intelectual 1/1996 de 12 de abril, que está libre de cargas o gravámenes. Y que se poor punctuation1 encuentra inscrita en el Registro de Propiedad Intelectual en la Sección VI Inscripción 121. Con fecha 05/06/2001.
2.1.2. El PROVEEDOR cede todos los derechos patrimoniales de la propiedad intelectual en exclusiva al CLIENTE.
2.1.3. En el supuesto que pudieran derivarse, la cesión incluye los derechos de Propiedad Industrial.
2.1.4. El PROVEEDOR se compromete a no utilizar este programa, salvo permiso por escrito del CLIENTE, y a destruir todas las copias que tenga del mismo.
2.1.5. Los derechos patrimoniales comprenden la explotación o transformación por sí o por terceros del programa en cualquier formato o soporte y por cualquier sistema, procedimiento o modalidad existentes y conocidos o no conocidos en la actualidad.
2.1.6. En todo momento el CLIENTE podrá transferir, ceder los derechos cedidos u otorgar autorizaciones a terceros para su comercialización y explotación.
2.1.7. El CLIENTE podrá realizar la explotación de los derechos con carácter oneroso, recibiendo cualquier tipo de contraprestación o con carácter gratuito.
2.1.8. El PROVEEDOR estará a disposición del CLIENTE hasta que el Registro de la Propiedad Intelectual inscriba al CLIENTE como titular de la Propiedad Intelectual del programa. La inscripción en dicho registro no se realizará hasta que esté completamente pagado el precio de la cesión.
2.1.9. El PROVEEDOR se hará cargo de la totalidad de los tributos, cualquiera que sea su naturaleza y carácter, que se devenguen como consecuencia del Contrato, así como cualesquiera operaciones físicas y jurídicas que conlleve, salvo el Impuesto sobre el Valor Añadido (IVA) o su equivalente, que el PROVEEDOR repercutirá al CLIENTE.
TERCERA.- POLÍTICA DE USO
El CLIENTE será el único responsable de la utilización del programa y de que se realice dentro de la legalidad.
CUARTA.- PRECIO Y FACTURACIÓN.-
4.1 El precio por la cesión de los derechos de propiedad intelectual es de 3.500€ IVA excluido.
4.2 El precio por la instalación del programa es de 500€ IVA excluido.
4.3 El precio por la capacitación del personal del CLIENTE es de 1.000€ IVA excluido
4.4 El pago del precio de la cesión de la Propiedad Intelectual se realizará antes de iniciar cualquier gestión en la transmisión de la propiedad y como máximo en 5 días desde la fecha de este contrato, en la siguiente cuenta corriente titularidad del PROVEEDOR: 0000 01 12 1234 5678.
4.5 El pago de la factura por la instalación del programa se realizará, tras la aceptación de los trabajos por el CLIENTE, mediante transferencia bancaria a los 30 días de la fecha de recepción de la factura a la siguiente cuenta corriente titularidad del PROVEEDOR: 0000 01 12 1234 5678.
4.6 El pago de la factura por la capacitación de los empleados del CLIENTE, se realizaráfuture for normative9 una vez concluido el curso, mediante transferencia bancaria a los 30 días de la fecha de recepción de la factura a la siguiente cuenta corriente titularidad del PROVEEDOR: 0000 01 12 1234 5678.
QUINTA.- DURACIÓN DEL CONTRATO
El plazo de duración del presente Contrato es de 730 DÍAS a partir de la fecha referida en el encabezamiento del Contrato.

Las Partes podrán resolver el Contrato, con derecho a la indemnización de daños y perjuicios causados, en caso de incumplimiento de las obligaciones establecidas en el mismo, en especial si el CLIENTE se ve perturbado por un tercero que tenga derecho sobre la Propiedad Intelectual del programa objeto de este contrato.
DÉCIMA.- REGIMEN JURÍDICO
El presente contrato tiene carácter mercantil, no existiendo en ningún caso vínculo laboral alguno entre el CLIENTE y el personal del PROVEEDOR que preste concretamente los Servicios.
Las partes para cualquiera controversia, discrepancia, aplicación o interpretación del presente contrato, se someten expresamente, con renuncia a cualquier otro fuero que pudiera corresponderles, a la decisión del asunto o litigio planteado asunto o litigio planteado awkward and repetitive3 so combine with controversia), mediante el arbitraje institucional del Tribunal Arbitral del Colegio Oficial de Ingeniería en Informática de Cataluña, en adelante TA-COEIC, al cual encomiendan la administración del arbitraje y la designación de los árbitros. En caso de que el arbitraje no llegara a realizarse por mutuo acuerdo o fuera declarado nulo, ambas partes se someten a los juzgados y tribunales de la ciudad de Gerona, con renuncia a cualquier otro fuero que pudiera corresponderles.

BETWEEN
Juan Emilio López Acuyo of legal age, holder of National Identity Document Number 23432132-K, acting for and on behalf of the company, INDALSOFT S.L., hereinafter the “PROVIDER”, located in Gerona, calle Polígono La Juaida number 43, C.P. 28088, with Fiscal Identification Code B 04657365.
AND, Javier Martínez Campos of legal age, holder of National Identity Document Number 75654326-L, acting for and on behalf of the company, INDALMÁTIC S.L., hereinafter the “CLIENT”, located in Gerona, calle Pablo Iglesia number 124, C.P. 28083, with Fiscal Identification Code B 04675876.
THE CLIENT and the PROVIDER may hereinafter be referred to individually as ‘the Party’ or together as ‘the Parties’. They mutually acknowledge that they are duly authorized and have sufficient legal capacity to enter into this Contract.
WITNESSETH:
ONE: Whereas the PROVIDER is a company in the business of creating and developing computer systems and software programs.
TWO: Whereas the CLIENT wishes to acquire the intellectual property rights to SOFTMAR 1.0, which has been registered in the Intellectual Property Registration Office in Section VI, Entry 121, since 05/06/2001.
THE CLIENT wishes to acquire these rights in order to exploit them by means of the methods indicated in this contract.
THREE: Whereas the Parties wish to enter into an intellectual property assignment agreement by means of which the PROVIDER will assign the following rights in and to the software program known as SOFTMAR 1.0 to the CLIENT:
e) The right to reproduce the software program
f) The right to distribute the software program
g) The right to display and transmit the software program to the public
h) The right to modify the software program
Now, therefore, the Parties, in a meeting held at the CLIENT’S head office, hereby enter into this INTELLECTUAL PROPERTY ASSIGNMENT AGREEMENT, hereinafter the ‘Agreement’, in accordance with the following
CLAUSES
ONE.- OBJECT
In accordance with the terms and conditions set forth in this Agreement and its schedules, the PROVIDER agrees to exclusively assign to the CLIENT the rights granted to the PROVIDER by the Intellectual Property Act approved by Royal Legislative Decree 1/1996, of 12 April. These rights, hereinafter the ‘rights’, include the right to display and transmit the software program to the public, as well as the rights to modify, reproduce and distribute the program.
TWO.- GENERAL AND SPECIFIC TERMS AND CONDITIONS GOVERNING THE RIGHTS ASSIGNMENT
2.2. The assignment of all of the Intellectual Property rights in and to the software program known as SOFTMAR 1.0 shall be subject to the following general terms and conditions:
2.1.1. THE PROVIDER declares that the software program version is original, that it is covered by the full scope of the protection granted by the Intellectual Property Act approved by Royal Legislative Decree 1/1996 of 12 April, that it is free from liens or encumbrances, and that it has been registered in the Intellectual Property Registration Office in Section VI, Entry 121, since 05/06/2001.
2.1.2. The PROVIDER exclusively assigns all of the economic copyrights pertaining to the intellectual property to the CLIENT.
2.1.3. In the event that industrial property rights are present, their transfer is included in the assignment.
2.1.4. THE PROVIDER shall not use this software program without written permission from the CLIENT and agrees to destroy any copies of this program in his possession.
2.1.5. Economic copyrights include the exploitation or modification of the software program by the client or by third parties, by means of any format, medium, currently known or future system, procedure or method.
2.1.6. The CLIENT may at any time transfer the rights, reassign them or grant authorizations to third parties for marketing and exploitation of the software program.
2.1.7. THE CLIENT may exploit the rights for any type of valuable consideration or at no charge.
2.1.8. THE PROVIDER shall be at the disposal of the CLIENT until the Intellectual Property Registration Office records that the CLIENT holds full title to all Intellectual Property rights with respect to the software program. The CLIENT may record his title only after full consideration for the assignment has been given.
2.1.9. THE PROVIDER shall be liable for all taxes which accrue as a result of the Contract, irrespective of their nature and type, and shall pay the cost of all physical and legal transactions associated with the contract but shall not be liable for payment of the Value Added Tax (VAT) or its equivalent, the payment of which the PROVIDER shall pass on to the CLIENT.
THREE.- USE POLICY
THE CLIENT shall bear sole responsibility for the use of the software program and for ensuring that this use does not infringe the law.
FOUR.- PRICE AND INVOICING.-
4.7 The consideration for the assignment of the intellectual property rights is €3,500 excluding VAT.
4.8 The price for installation of the software program is €500 excluding VAT.
4.9 The price for training of the CLIENT’S personnel is €1000 excluding VAT
4.10 The consideration for the assignment of the Intellectual Property shall be paid, prior to initiation of the property transfer and no later than 5 days after the execution of this contract, into the following drawing account held by the PROVIDER: 0000 01 12 1234 5678.
4.11 Subsequent to the CLIENT’S acceptance of the work, the CLIENT shall pay the invoice for the instalment of the software program by performing a bank transfer, 30 days after reception of the invoice, to the following drawing account held by the SUPPLIER: 0000 01 12 1234 5678.
4.12 Upon the conclusion of the training course, payment of the invoice for training of the CLIENT’S employees shall be made 30 days after reception of the invoice by means of a bank transfer to the following drawing account held by the PROVIDER: 0000 01 12 1234 5678.
FIVE.- TERM OF THE AGREEMENT
This Agreement shall enter into force on the date first before written and shall remain in force for a term of 730 days thereafter.

EIGHT.- TERMINATION
In the event of a breach of the obligations set forth in this Contract, the Parties may terminate the contract and will have the right to receive damages for breach thereof, particularly if a claim for infringement of intellectual property is filed against the CLIENT by a third party who holds a right over the Intellectual Property of the software program which is the object of this contract.
TEN.- GOVERNING LAW AND JURISDICTION
This is a commercial contract; no employment relationship exists between the CLIENT and the employees of the PROVIDER who perform the Services.
The parties hereto, waiving any other jurisdiction to which they may be entitled, shall expressly submit all disputes, discrepancies, applications or interpretations associated with possible litigation or other matters arising out of this agreement to resolution via institutional arbitration before the Arbitration Board of the Colegio Oficial de Ingeniería en Informática de Cataluña (Catalonian Official College of Computer Engineering), hereinafter the TA-COEIC. The parties entrust the management of the arbitration and designation of the arbiters to this entity. The arbitration shall be in equity and be conducted in accordance with the procedure set forth in the TA-COEIC Regulation or in accordance with Arbitration Act 60/2003, of 23 December, with regard to all matters not provided for in the above Regulation. Both parties agree to abide by and implement the decision contained in the arbitral award, which shall be rendered in accordance with the provisions of the aforementioned TACOEIC regulation.
In the event that the parties agree to forego arbitration or it is declared null and void, both parties shall submit to the jurisdiction of the courts of the city of Gerona, waiving any other jurisdiction to which they may be entitled.

REUNIDOS
De una parte D. JESÚS LÓPEZ HEREDIA, mayor de edad, con DNI 42345142-S y domicilio en Almería, calle Turquesa, 14, quien actúa en nombre y representación de SALAZONES S.A (en adelante denominada “franquiciador”), en calidad de Administrador,
Y de otra, D. MANUEL MARTÍNEZ CÓZAR, mayor de edad, con DNI número 67543255-G y domicilio en Almería, calle Candilejos, número 23, (denominado en lo sucesivo “franquiciado”).
Ambas partes se reconocen la mutua capacidad de obrar necesaria para la firma del presente contrato y puestos previamente de acuerdo.
DECLARAN
a) El franquiciador es titular y Administrador de la empresa SALAZONES S.A.
b) El franquiciador ha desarrollado unos métodos específicos de distribución, diseño de
los puntos de venta y gestión de los establecimientos, tal que en conjunto constituye
un know how comercial particular logrado mediante la inversión de medios económicos en investigación, así como en virtud de la larga experiencia en el sector, todo lo cual ha condensado en el MANUAL "M".
c) En virtud de lo anterior el franquiciador ha alcanzado notorio prestigio comercial dado que sus clientes identifican los productos "X", como garantía de calidad, y los establecimientos "Z" dirigidos por profesionales altamente cualificados.
d) El franquiciado ha sido seleccionado por el franquiciador para formar parte de su red de distribución y, después de haber recibido información suficiente del franquiciador, desea formar parte de la misma y ser adiestrado y asistido en el ejercicio dentro de los límites de este contrato.
e) El franquiciado reconoce y admite la importancia que para el franquiciador y para los otros franquiciados tiene el mantenimiento de las características especiales del negocio descrito a fin de que la imagen de los establecimientos "Z" no se vea deteriorada respecto al público.
f) El franquiciado reconoce y admite la singular relación con el franquiciador y los beneficios mutuos que se derivan del mantenimiento de los criterios y política fijados por el franquiciador y de una apertura de comunicaciones y de amplia colaboración con otros franquiciados y con el franquiciador, así como la dependencia de cada uno de ellos para la fiel ejecución de los términos y condiciones de este acuerdo, no obstante la condición de empresarios independientes que ostentan.
EN CONSECUENCIA, considerando las premisas y convenios mutuos aquí convenidos, se acuerdan por y entre las partes los siguientes:
PACTOS
PRIMERO: El franquiciador concede por el presente documento al franquiciado, y este a su vez, también por el presente documento, acepta una franquicia como franquiciado de los productos "X" según los términos y condiciones contenidos en el mismo, consistente en:
1.° La autorización para la distribución de los productos "X" en el local del franquiciado descrito en este contrato.
2.° La utilización por el franquiciado del know how comercial condensado en el MANUAL "M".
3.° El uso por el franquiciado de los signos distintivos propiedad del franquiciador siempre en conexión con los productos "X".
4.° La prestación por el franquiciador al franquiciado de asistencia comercial durante la vigencia del acuerdo en los términos que más adelante se detallan.
SEGUNDO: La concesión de la presente franquicia no supone en ningún caso la creación de un vínculo laboral entre el franquiciador y el franquiciado. Al contrario, la franquicia otorgada por el presente se configura como negocio propio del franquiciado, que éste conducirá a su propio riesgo y ventura asumiendo los resultados del mismo.
El franquiciado no está autorizado a presentarse como socio, agente o representante del franquiciador, ni tendrá ninguna representación, expresa o tácita, para actuar en su nombre.
Ningún acuerdo, pacto o promesa, declaración o actuación de cualquier clase efectuados por el franquiciado con infracción de lo dispuesto en el párrafo anterior, vinculará al franquiciador en modo alguno siendo el franquiciado el único responsable frente a terceros por tales actuaciones.
TERCERO: El franquiciado explotará la franquicia concedida en Almería sito en la calle Candilejas, número 87. Se adjunta plano firmado por las partes.
El franquiciador se obliga a no otorgar ninguna otra franquicia en dicho ámbito territorial, de modo que en una distancia no inferior a 100 km no exista otro negocio de iguales características y objeto negocial con el signo distintivo del franquiciador. Igualmente se obliga a no distribuir por él mismo los productos objeto de la franquicia, así como a impedir la competencia activa, de otros franquiciados sobre ese territorio. No se obliga, sin embargo, a impedir que otros franquiciados atiendan a clientes no solicitados procedentes del mismo.
CUARTO: El franquiciado se abstendrá de abrir una segunda tienda, ya dentro, ya fuera del territorio expresado, así como, en general, de ejercer un comercio similar al que es objeto de la franquicia durante la vigencia de este contrato, ni directa ni indirectamente a través de personas físicas o jurídicas interpuestas.
Del mismo modo se abstendrá de ejercer un comercio similar a 1 que es objeto de esta franquicia durante un año después de la expiración del contrato en el territorio donde haya explotado la franquicia, ni directa ni indirectamente a través de personas físicas o jurídicas interpuestas.
A estos efectos, se considerarán personas físicas interpuestas los parientes del franquiciado hasta el cuarto grado de consanguinidad o afinidad en línea recta, ascendente o descendente, y hasta el octavo grado de consanguinidad o afinidad en línea colateral.
Se considerarán personas jurídicas interpuestas aquellas en las que el franquiciado o alguna persona interpuesta según la anterior numeración, ostenten aislada o separadamente un porcentaje superior al 25% del capital social o tenga invertidos de otro modo recursos que excedan de dicho porcentaje o tengan el poder o la facultad efectiva de dirigir los asuntos sociales.
QUINTO: La presente franquicia comenzará su vigencia el día de la firma de este
contrato, según se expresa en el encabezamiento, y continuará en vigor por un período
de 3 años, finalizando por tanto el día 12 de noviembre de 2009.
Este contrato se prorrogará automáticamente por sucesivos períodos de un año a partir de su vencimiento, a menos que cualquiera de las partes notifique a la otra por escrito con 6 meses de antelación a la fecha de vencimiento inicial o de cada período de prórroga, su deseo de no renovarlo.
SEXTO: Es obligación del franquiciado comunicar al franquiciador toda la experiencia obtenida en el marco de la explotación de la franquicia y concederle a él y a otros franquiciados una licencia no exclusiva sobre el know how que pudiera resultar de dicha experiencia.
Del mismo modo se abstendrá de ejercer un comercio similar a 1 que es objeto de esta franquicia durante un año después de la expiración del contrato en el territorio donde haya explotado la franquicia, ni directa ni indirectamente a través de personas físicas o jurídicas interpuestas.
A estos efectos, se considerarán personas físicas interpuestas los parientes del franquiciado hasta el cuarto grado de consanguinidad o afinidad en línea recta, ascendente o descendente, y hasta el octavo grado de consanguinidad o afinidad en línea colateral.

b) Whereas financial investment in research and long experience in the sector have enabled the Franchisor to develop specific distribution, design and management techniques with respect to retail sales outlets, which, taken together, constitute a specific form of commercial know how, which the Franchisor has condensed in MANUAL ‘M’.
e) Whereas as a result of this know how, the Franchisor has built an excellent reputation amongst his customers, who associate products ‘X’ with guaranteed high quality, and retail sales outlets ‘Z’ with excellent management by highly qualified professionals.
f) Whereas the Franchisor has selected the Franchisee to form part of his distribution network, and the Franchisee, on the basis of sufficient information received from the Franchisor, has expressed a desire to participate in the aforementioned network, as well as receive training and assistance in the operation of the franchise, subject to the terms and conditions of this agreement.
g) Whereas the Franchisee acknowledges and accepts the importance, both for the Franchisor and for the other franchisees, of maintaining the special characteristics of the described undertaking, in order to prevent damage to the reputation of the retail sales outlets ‘Z’.
h) Whereas the Franchisee acknowledges and accepts the special nature of his relationship with the Franchisor as well as the mutual benefits which stem from adherence to the criteria and policies established by the Franchisor and from open communication and broad collaboration with the Franchisor and the other franchisees. The Franchisee furthermore acknowledges that although the Franchisor and the franchisees hold the status of independent entrepreneurs, the faithful performance of the contract requires their mutual collaboration.
NOW THEREFORE, in consideration of the premises and mutual covenants herein contained, the parties agree as follows:
ONE: The Franchisor hereby grants and the Franchisee hereby accepts a franchise with respect to products ‘X’ in accordance with the following terms and conditions:
1. The Franchisee is hereby granted a license to distribute products ‘X’ at the Franchisee’s retail location, which is described in this agreement.
2. The Franchisee is hereby permitted to use the Franchisor’s know how, as set forth in condensed form in MANUAL ‘M’.
3. With regard to products ‘X’, the Franchisee is hereby granted the right to use the distinctive trademarks held by the Franchisor.
4. During the term of this contract, the Franchisor shall provide commercial assistance to the Franchisee in accordance with the conditions set forth below.
TWO: The granting of this franchise does not in any manner give rise to an employment relationship between the Franchisor and the Franchisee. On the contrary, the franchise undertaking granted under the terms of this agreement shall be owned by the Franchisee, who shall assume all of the financial risks associated with its operation.
The Franchisee shall not represent himself as a partner, agent or representative of the Franchisor, nor shall he have the authority, whether express or implied, to act in his name.
The Franchisee cannot legally bind the Franchisor by means of any contract or agreement entered into, warranty or representation made, or act of any type performed by the Franchisee in breach of the provisions of the above paragraph. Furthermore, the Franchisee shall be solely liable before third parties for such acts.
THREE: The Franchisee shall exploit the granted franchise in Almería, at calle Candilejas, number 87. Enclosed is a plan signed by both parties.
The Franchisor shall not grant any other franchises within the Franchisee’s territory. Therefore, no undertakings possessing the Franchisor’s characteristics, business purpose and distinctive trademark shall be located within a radius of 100 km of the Franchisee’s retail location. Furthermore, the Franchisor shall not distribute the products which constitute the subject matter of the franchise agreement and shall not allow other franchisees to engage in direct competition with the Franchisee within the Franchisee’s territory. The Franchisor is under no obligation, however, to prevent other franchisees from serving unsolicited customers from the Franchisee’s territory.
FOUR: The Franchisee shall not, either directly or by means of natural or corporate persons serving as intermediaries, open a second retail sales outlet, either inside or outside of the aforementioned territory, nor shall he in general operate a business similar to that which is the object of this franchise agreement, while this agreement is in effect.
In addition, for a term of one year commencing on the expiry date of this agreement, the Franchisee shall not, whether directly or indirectly through natural or corporate persons serving as intermediaries, operate a business similar to that which constitutes the object of this franchise, within the territory where the Franchisee has exploited the franchise.
With respect to this one-year prohibition, natural persons acting as intermediaries include all of the Franchisee’s ascending and descending blood relatives and in-laws up to the fourth degree of relationship in a straight line, and up to the eighth degree of relationship in a collateral line.
Corporate persons acting as intermediaries are defined as those in which either the Franchisee or an intermediary person, as defined in the preceding paragraph, either individually or separately hold over 25% of the share capital, or otherwise have investments which exceed this percentage, or possess the effective power or authority to manage the corporate person’s affairs.
FIVE: This franchise shall take effect on the date first set forth above when the agreement
is signed by the contracting parties, and it shall remain in effect for a term of 3 years, until 12 November, 2009.
This agreement shall be extended automatically for successive year-long terms, commencing on its date of expiry, unless either of the parties informs the other in writing, 6 months prior to the initial expiry date or prior to its subsequent anniversaries, that he does not wish to renew the contract .
SIX: The Franchisee shall transfer all of the knowledge he acquires from his exploitation of the franchise to the Franchisor. In addition, the Franchisee shall grant the Franchisor and the remaining franchisees in the Franchisor’s distribution network a non-exclusive license with regard to the know how the Franchisee may have acquired as a result of his exploitation of the franchise.
Likewise, for a term of one year commencing on the expiry date of this agreement, the Franchisee shall not, whether directly or indirectly through natural or corporate persons serving as intermediaries, operate a business similar to that which constitutes the object of this franchise, within the territory where the Franchisee has exploited the franchise.
