Source text - English Withdrawals schedule and orders delivery during notice of termination period
During the period starting from the date in which the notice of termination is served by one Party to the other Party and the effective date of termination of the Agreement ("Notice Period"), the following special provisions will be applicable:
(i) during the eight month (Month N - 1) of the calendar year calculated as from the 1st day of the month in which the notice of termination is served, the Dealer shall issue - subject to agreement with X or with the Designated Source, its withdrawals schedule for the month N 1 and N 2 , N 3 up to the effective date of termination of the Agreement (“Final Period”) .
The withdrawals program agreed for the Final Period shall be worked out with the aim to ensure that at the effective date of termination of the Agreement the Dealer stock be reduced to almost zero, but for any other provision it shall meet all the terms and conditions set forth in Section 6 of this Annex . No modification shall be made to such withdrawals program during the entire Final Period.
(ii) To the extent of the withdrawals contained in the Program of the Final Period, the Dealer shall buy the quantities of Contract Vehicles as above scheduled through the issuing of irrevocable orders.
Such orders shall be qualified at the utmost level of detail. Nevertheless, in case the Dealer expects reasonably and justifiably not to be able to carry out the correlated deliveries to the Customers by the date of termination of the Agreement, the Dealer will have the right to issue irrevocable orders for quantities lower than those established in the Program of the Final Period. It is however understood that, in case the reduction concerns only certain models/versions of the Contract Vehicles object of the withdrawals Program for the Final Period, X may carry out – when confirming the orders – an equivalent reduction for some or all the other models/versions object of the Dealer’s order. The Dealer’s orders will be deemed accepted upon receipt of X’s confirmation stating the week of expected assignation.
(iii) The Dealer will maintain its right to withdraw from the availability of X or the Available Orders to the extent and in conformity with the provisions of the foregoing Section 4.
(iv) The Dealer is expressly prohibited to issue orders whose fulfilment is expected after the date of termination of the Agreement. Such orders, if any, will be null and void at all effects and, should Lancia unintentionally confirm or execute them (as a result of the information technology system automatism), the economic consequence of the order invalidation and operational cancellation will be borne exclusively by the Dealer.
Translation - Italian 5. Programma di ritiro merce e consegna degli ordini durante la disdetta
Nel corso del periodo decorrente dalla data di notifica della disdetta inoltrata da una delle parti all’altra e fino alla data di effettiva conclusione del contratto (“Periodo di disdetta”), trovano applicazione le seguenti disposizioni speciali:
i) Nel corso dell’ottavo mese dell’anno solare (mese N 1) calcolato a partire dal primo giorno del mese in cui è notificata la disdetta, il Rivenditore rilascerà, ai sensi del contratto siglato con X o con la Fonte Designata, il programma di ritiro merce valido per i mesi N 1, N 2, N 3, fino al periodo effettivo di conclusione del contratto (“Periodo finale”). Il programma di ritiro merce concordato per il periodo finale sarà predisposto in modo tale da assicurare che, in concorrenza con il periodo di conclusione del contratto, le scorte nelle disponibilità del Rivenditore saranno prossime allo zero. Durante queste periodo troveranno applicazione, per le disposizioni qui non richiamate, i requisiti richiesti e le condizioni riportate nella Sezione 6 del presente allegato. Durante l’intero Periodo Finale, non sarà ammessa nessuna modifica al programma di ritiro merce.
ii) Nei limiti dei ritiri predisposti attraverso il programma, il Rivenditore acquisterà i veicoli oggetto del contatto secondo i quantitativi elencati nelle fatturazioni degli ordini irrevocabili. Questi ordini saranno formulati in maniera estremamente dettagliata. Tuttavia, nel caso in cui il Rivenditore preveda ragionevolmente e legittimamente di non poter provvedere alla consegna al cliente della merce entro la data di conclusione del contratto, lo stesso avrà il diritto di richiedere negli ordini quantitativi inferiori rispetto a quelli previsti nel Programma del Periodo Finale. Comunque, nel caso in cui la riduzione riguardi soltanto alcuni modelli dei veicoli “contrattuali” oggetto del Programma, X può, al momento della conferma degli ordini, procedere ad una riduzione corrispondente di alcuni o di tutti gli altri modelli contemplati nell’ordine. Gli ordini del Rivenditore si considerano accettati al momento del recapito della conferma con cui X indica la settimana del conferimento previsto della merce.
iii) Nei limiti e in conformità con la sezione 4 di cui sopra, il Rivenditore conserva durante questo periodo il diritto a effettuare ritiri dalle disponibilità di X o ad acquisire ordini disponibili.
iv) Al Rivenditore è fatto divieto di emettere ordini la cui esecuzione è prevista in data successiva alla conclusione del contratto. Tali ordini eventuali saranno nulli ed invalidi a tutti gli effetti, e qualora X dovesse involontariamente confermare o dare esecuzione agli stessi (come conseguenza dell’automatismo del sistema di tecnologia dell’informazione) le conseguenze di ordine economico dell’annullamento degli ordini e della cancellazione delle operazioni saranno sostenute in via esclusiva dal Rivenditore.

Source text - Arabic على مقدم العطاء أن يتقيد بدقه تامة بكامل الشروط المدونه أدناه دون إستثناء وتعتبر الرسالة الموجهة إلى الشركة جزءاً لا يتجزأ منها وذلك كما يلي:
1- تسحب مستندات العطاء والمواصفات الفنية للمشروع من أمين سر لجنة العطاءات أثناء الدوام الرسمى بمقر إدارة الجهاز طريق السوانى بالقرب من جمعية الدعوة الإسلامية طرابلس مقابل دفع مبلغ قدره( 5000 يورو)، غير قابلة للترجيع تدفع في حساب الجهاز بالمصرف الليبي الخارجي رقم 14548.
2- يتم التعاقد وفقاً لأحكام لائحة تعاقدات الجهاز واللائحة العامة للعقود الإدارية(مرفق نموذج عقد توريد وتركيب).
3- آخر موعد لإستلام العروض نهاية دوام يوم الخميس الموافق 15/1/2009مسيحي.
4- يقدم العرض فى مظروف مغلق مختوم بالشمع الأحمر ويكتب عليه إسم الشركة مقدمة العطاء وعبارة ( عطاء عن ...... ) (الجلسة ...) وعنوان لجنة العطاءات وإسم الجهاز،ويحتوى المظروف على ثلاثة أجزاء :
أ) مستندات التأهيل للشركة من حيث عقد تأسيسها ونظامها الأساسي والترخيص لها بمزاولة نشاطها - وسابق خبرتها – وإمكانياتها المادية والبشرية – ونشاطها فى تنفيذ أعمال مماثلة مع بيان مواقع هذه الأعمال وقيمتها وتواريخ إتمامها ، رأس مال الشركة وآخر ميزانية عمومية وحساب الأرباح والخسائر عن السنتين الأخيرتين مصدقتين من مكتب محاسب قانوني معترف به – شهادة من مصرف معروف ومقبول لدى مصرف ليبيا المركزي أو أحد المصارف العاملة فى الجماهيرية العظمي تحدد المقدرة المالية للشركة المتقدمة بالعرض - قائمة بالمعدات التى تمتلكها الشركة والتي يتطلبها المشروع – قائمة بالمهندسين والعمالة المقترحة للمشروع مع سابق الخبرة لهم.
ب) العرض الفنى الخاص بالعطاء وتحدد فيه طريقة التنفيذ المقترحة ومراحلها والبرنامج الزمنى للتنفيذ،( فيما يخص خط الخمس- طرابلس: يتم تقديم العرض شاملاً اعادة التصميم والتنفيذ وأن يكون على أساس ماهو موجود بخط سرت-الخمس بحيث يقدم العرض سرت- الخمس- طرابلس) .
ج) العرض المالى بحيث تحدد فيه القيمة الإجمالية للعطاء والمدة الزمنية للتنفيذ ويرفق بداخله التأمين الإبتدائى للعرض.
Translation - Italian L’appaltatore ha il dovere di attenersi a tutte le condizioni indicate. La lettera inviata all’azienda è considerata parte integrante delle seguenti condizioni.
1- I documenti dell’appalto e le disposizioni tecniche in riferimento al progetto sono rilasciati dal segretario della commissione appalti per la durata ufficiale di tale appalto nella sede amministrativa dell’istituto situata a Tripoli in via Al-Suany, in prossimità del centro islamico di preghiera, dietro il pagamento della cifra di 5.000 Euro, da versare sul conto numero X, appartenente all’istituto, presso la banca libica.
2- Il raggiungimento dell’accordo avviene in base alle disposizioni dello statuto per i contratti dell’istituto e allo statuto generale per i contratti amministrativi (incluso il modello di contratto di distribuzione e fabbricazione).
3- Il termine ultimo per ricevere le offerte finali è giovedì 15 gennaio 2009.
4- Le offerte devono essere presentate in busta chiusa sigillata con ceralacca. Su di essa devono essere riportati il nome dell’azienda che presenta l’offerta, i termini offerta a … e seduta…, l’indirizzo della commissione appalti e il nome dell’istituto. La busta contiene:
a) I documenti di presentazione dell’azienda: il contratto di fondazione, lo statuto fondamentale, l’autorizzazione ad esercitare l’attività, le possibilità materiali e di lavoratori, le precedenti attività nella realizzazione di lavori simili, con la descrizione dei luoghi in cui sono stati svolti, il loro ammontare e le date di completamento, il capitale sociale dell’azienda, l’ultimo bilancio generale, il resoconto degli utili e delle perdite negli ultimi due anni ratificato dall’ufficio contabile riconosciuto legalmente, il certificato della banca di appartenenza riconosciuto e accettato dalla banca centrale libica o da una delle banche che operano in Libia il quale indica l’ammontare che dovrà versare la società che presenta l’offerta, la lista dei materiali che presenta l’azienda e che il progetto necessita, la lista degli ingegneri e degli operai proposti per il progetto con l’indicazione delle loro precedenti esperienze;
b) L’offerta tecnica inerente all’appalto, l’indicazione del metodo di esecuzione proposto, le fasi, il programma e i tempi di esecuzione. Per quanto riguarda la linea Al Khums-Tripoli, l’offerta è presentata comprendendo la riprogettazione e vigeranno gli stessi criteri valevoli per la linea Sert-Al Khums, per cui l’offerta dovrà essere presentata per la linea Sert-Al Khums-Tripoli;
c) L’offerta economica che indica il valore totale dell’offerta di appalto e i tempi di esecuzione, e include al suo interno la garanzia iniziale dell’ offerta.

SPIR is the acronym of Spare Parts List and Interchangeability Record.
The SPIR is to be filled in by the VENDOR as per the instructions given at Clauses 6. and 8. and approved by the CONTRACTOR; see, for reference, the attachment 1.
The quotation of the two years spare parts shall have to arrive along with the offer of the equipment.
GUARANTEE SPARE PARTS
VENDOR shall assume unit responsibility and guarantee of manufacturing and delivery of spare parts for their equipment for a minimum period of ten (10) years from the equipment delivery date or as required by COMPANY.
If any parts become obsolete, VENDOR shall guarantee equivalent and suitable parts consistent with the original equipment purchased.
PROCUREMENT AND HANDLING
Within 60 day of the commencement date the Spare Parts Coordinator will submit for Company review the Spare parts Procurement Plan.
Vendor shall submit to CONTRACTOR the proposed spare parts populating the SPIR form there attached.
Upon receiving the proposal from the respective vendor CONTRACTOR shall review and correct the SPIR information in line with this procedure. COMPANY shall review and authorize the SPIR for purchase by CONTRACTOR.
VENDOR'S quotations for the operating spares shall be valid for acceptance by COMPANY up to one (1) year from the date of submittal of an acceptable SPIR Form as per document Spare Parts Procedure. VENDOR'S shall also provide an escalation formula for a period of five (5) years beyond the initial validity period of one (1) year.
Packaging
Two Years Operating Spare Parts shall be packed separately from the main equipment and packing container shall be clearly marked "SPARES", a bill of material shall be enclosed and a copy securely attached to the packing case.
Translation - Italian Il modello SPIR
SPIR è l’acronimo di “CATALOGO RICAMBI E PRONTUARIO COMPATIBILITA”.
Il modello SPIR deve essere compilato dal FORNITORE in conformità alle istruzioni riportate alle clausole 6 e 8 e deve essere approvato dal CONTRAENTE; si veda come riferimento l’allegato 1.
Il preventivo dei pezzi di ricambio con durata di esercizio di 2 anni dovrà pervenire unitamente alla proposta dell’equipaggiamento.
La garanzia dei pezzi di ricambio.
Il FORNITORE si assumerà la responsabilità in riferimento all’unità e dovrà garantire la fabbricazione e la consegna dei pezzi di ricambio per il loro equipaggiamento per un periodo di almeno dieci (10) anni dalla data di consegna dell’equipaggiamento, o come diversamente richiesto dalla società.
Se qualche pezzo diventa obsoleto, il FORNITORE dovrà garantire i pezzi sostitutivi che siano adatti all’attrezzatura originale acquistata.
Procurement e trattamento
Entro 60 giorni dalla data di inizio, il Coordinatore dei Pezzi di Ricambio sottoporrà il Piano di Procurement dei Pezzi di Ricambio alla società per la revisione dello stesso.
Il FORNITORE sottoporrà al CONTRAENTE i pezzi di ricambio compilando il modello SPIR ad essi allegato.
Una volta ricevuta la proposta dal rispettivo FORNITORE, il CONTRAENTE revisionerà e correggerà le informazioni contenute nello SPIR in conformità con tale procedura. La SOCIETA’ revisionerà e autorizzerà lo SPIR per l’acquisto da parte del CONTRAENTE.
I preventivi del FORNITORE per le componenti di funzionamento saranno validi per l’accettazione da parte della società fino a un (1) anno a partire dalla data di presentazione di un modello SPIR accettabile in conformità al documento “procedure per pezzi di ricambio”. Il FORNITORE fornirà una formula di adeguamento per un periodo di cinque (5) anni oltre il periodo iniziale di validità pari ad un (1) anno.
Imballaggio
I pezzi di ricambio con durata d’esercizio di 2 anni saranno confezionati separatamente dall’attrezzatura principale ed il container di imballaggio dovrà essere marcato chiaramente con la scritta “ Pezzi”. Dovrà essere inoltre saldamente allegata alla cassa d’imballaggio una distinta base (BOM), assieme ad una copia.

BUSINESS TERMS
Any time I accept a translation project, the following terms apply:
RATES: My rates change according to deadline, text format, size, urgency, etc... They can both be based on the source text and the target text. Indicative rates correspond to 0.06-0.08 per word for English and 0.12 per word for Arabic.
TRANSLATION CONDITIONS:I only accept translations into my mother tongue, Italian. Any translation must be accompanied by the relevant PO. Conversely, I guarantee the full compliance with any agreements signed with the client.
I deem rates and deadline binding only after receiving and viewing the final version of the text to be translated.
CONFIDENTIALITY:The strict compliance with confidentiality is a paramount for me. This will not be limited only to the signing non-disclosure agreements, but will apply in any case. Conversely, any information I give to the client must be treated as strictly confidential.
PAYMENT:I accept payments in many forms and currency. Money can be transferred to my Italian bank account, through paypal or moneybookers.
Payments in advance or interim payments may be applied to direct clients.
