إنه فى يوم ............. الموافق ...../ ...../ 2008
تحرر هذا العقد فيما بين كلاً من :-
1. الطرف الأول : - السيد / ......................
2. الطرف الثانى : - السيد / .......................
أقر الطرفين بأهليتهما للتصرف والتعاقد واتفقا على الآتي :-
تــمهيــــــــد
يمتلك الطرف الأول مجزر آلي كائن بجمهوري الهند بمدينة .......... , وهذا المجزر يقوم بتوريد وتصدير اللحوم الهندية إلى العديد من الدول و منها جمهورية مصر العربية عن طريق الوكلاء المعتمدون للمجزر, ولا يقوم المجزر بتوريد وتصدير هذه اللحوم إلا عن طريق وكيله بالدولة المستوردة, ورغبة من الطرف الأول فى إبرام عقد توريد ووكالة خاص مع الطرف الثانى يكون بمقتضاه الطرف الثانى هو الوكيل الوحيد للطرف الأول داخل جمهورية مصر العربية, والمستورد الوحيد للحوم الواردة إلى مصر عن طريق مجزر الطرف الأول الذى يتم توريد اللحوم الهندية المذبوحة إلى جمهورية مصر العربية عن طريقه وحده دون سواه طوال سريان مدة هذا العقد, طبقا للقوانين المصرية والهندية المعمول بها, فقد اتفقا على إبرام عقد الوكالة والتوريد بينهما بالشروط الآتية :-
أولاً :- التمهيد السابق جزء لا يتجزأ من هذا العقد ويأخذ حكم باقي بنوده .
ثانياً : - اتفق الطرفان على أن يكون الطرف الثانى وحده هو الوكيل الوحيد المعتمد للطرف الأول داخل جمهورية مصر العربية, وأن الطرف الثانى هو وحده دون سواه – داخل جمهورية مصر العربية, الذى يتم دخول اللحوم الواردة من المجزر الخاص بالطرف الأول بالهند إلى جمهورية مصر العربية عن طريقه وحده.
ثالثاً : - اتفق الطرفان على أنه لا يجوز للطرف الأول أو من يمثله توكيل شخص أخر بخلاف الطرف الثانى فى دخول وتوريد اللحوم الهندية التابعة لمجزر الطرف الأول إلى مصر طالما أن هذا التوكيل سارياً وطالما أن التعاقد مع الطرف الثانى لم يتم إلغاؤه من جانب الطرفين, كما أنه لا يجوز للطرف الأول توريد اللحوم إلى مصر إلا عن طريق الطرف الثانى.
رابعاً : - يلتزم الطرف الأول بتوريد اللحوم الهندية المذبوحة إلى الطرف الثانى وفقاً للمواعيد والشروط والكميات المتفق والمتعارف عليها بين طرفى هذا العقد.
خامساً : - يلتزم الطرف الثانى بسداد كامل ثمن اللحوم الموردة إليه من الطرف الأول فور وصول أوراق ومستندات الشحنة إلى الطرف الثانى.
سادساً : - يلتزم الطرف الثانى باستلام اللحوم الموردة إليه من الطرف الأول فور وصول اللحوم إلى المواني المصرية وإذا تأخر الطرف الثانى عن استلام هذه اللحوم فور وصولها إلى الموانئ المصرية فيتحمل الطرف الثانى وحده قيمة أية تلفيات أو فساد فى السلعة طالما أن هذا التلف بسبب تأخر الطرف الثانى في استلام البضاعة الموردة إليه من الطرف الأول مع التزام الطرف الثانى بسداد كامل الثمن على النحو الموضح بالبند السابق.
سابعاً : - لا يجوز للطرف الأول التعامل أو توريد اللحوم الهندية لمصر عن طريق شخص أخر بخلاف الطرف الثانى, وفى حالة مخالفة الطرف الأول لهذا البند يلتزم الطرف الأول بدفع غرامة مالية قدريها (100$) مائة دولار عن كل طن يتم دخوله وتوريده إلى الأراضي المصرية عن طريق شخص أخر بخلاف الطرف الثانى (ويعتبر مجرد دخول شحنة لحوم من الطرف الأول إلى الأراضي المصرية عن طريق شخص أخر أو شركة أخرى بخلاف الطرف الثانى دليلاً غير قابل لإثبات العكس على مخالفة الطرف الأول لحظر دخول اللحوم وحضر توكيل شخص أخر بخلاف الطرف الثانى) مع سريان هذا العقد فى كل بنوده, ومع أحقية الطرف الثانى فى اللجوء إلى القضاء للحصول على التعويض المناسب نتيجة إخلال الطرف الأول ببنود هذا العقد.
ثامناً : - يحق للطرف الثانى توريد جزء من الشحنة الموردة إليه من الطرف الأول باسم مستورد أخر داخل جمهورية مصر العربية, على أن هذا الحق قاصر على الطرف الثانى وحده دون الطرف الأول.
تاسعاً : - يلتزم الطرف الثانى بقبول أية كمية من اللحوم يعرضها عليه الطرف الأول, وفى حالة قيام الطرف الأول بإرسال كميات زائدة من اللحوم إلى الطرف الثانى, فلا يحق للطرف الثانى رفض استلام هذه الكميات أو رفض أو تأخير سداد ثمنها فور وصول سندات الشحنة على النحو الوارد بالبند الخامس.
عاشراً : - يلتزم الطرف الثانى بالحفاظ على الاسم التجارى والسمعة التجارية للطرف الأول والحفاظ على حقوق الطرف الأول المادية والمعنوية.
حادي عشر : - لا يحق للطرف الثانى إعادة أى كمية من اللحوم ترد إليه من الطرف الأول أو جزء منها لأى سبب من الأسباب إلا فى حالة الرفض الصحي من قبل السلطات المصرية وفى هذه الحالة يلتزم الطرف الأول بإعادة ثمن البضاعة المدفوعة إلى الطرف الثانى مع تحمل كافة المصاريف المتعلقة بإعادة التصدير إلى الهند أو إرسال كميات أخرى مماثلة للتي تم رفضها من قبل السلطات المصرية, ويلتزم الطرف الثانى بتنفيذ كل الالتزامات الواقعة على عاتقه بدون تأخير وفقا للمتفق عليه بين الطرفين.
ثانى عشر : - يسرى هذا العقد طالما أن القوانين داخل جمهورية مصر العربية وداخل جمهورية الهند تسمح باستيراد وتصدير اللحوم الهندية إلى مصر, وفى حالة صدور قرار من الحكومة المصرية بوقف استيراد اللحوم الهندية وكذا فى حالة إصدار الحكومة الهندية لقرار بوقف تصدير اللحوم إلى مصر, ففى هذه الحالة يتم وقف العمل بهذا العقد طوال فترة توفق التبادل بسبب صدور قرارات حكومية بذلك, وإذا ما تم استئناف الاستيراد من جانب مصر والتصدير من جانب الهند ففى هذه الحالة يتم استئناف العمل مرة ثانية بهذا العقد بين الطرفين بذات الشروط والبنود الثابتة بصلب هذا العقد. وكذلك الأمر فى حالة لا قدر الله – حدوث مرض أو وباء يصيب الماشية بالهند يؤدى إلى وقف تصدير أو استيراد المواشي المذبوحة من الهند.
ثالث عشر : - لا يجوز إلغاء هذا العقد أو الوكالة الثابتة بموجبه إلا بموافقة الطرفين صراحة وكتابة على ذلك, ولا يجوز لأحد الأطراف إلغاء هذا العقد بالإرادة المنفردة, وفى حالة الاتفاق على إنهاء هذا العقد فيتم إلغاؤه بالاتفاق المكتوب بينهما.
رابع عشر : - يلتزم كل طرف من طرفا هذا العقد بتنفيذ جميع بنوده كما هي ووفقا للأعراف المتعامل بها بينهما ووفقا للأعراف الدولية السارية والمتعامل بها فى هذا المجال ولا يجوز لأى طرف من طرفى هذا العقد الإخلال بأى بند من بنود هذا العقد أو التأخر فى تنفيذه.
سادس عشر :- فى حالة مخالفة أو إخلاء أى طرف من طرفى هذا العقد بأى بند من بنوده يلتزم الطرف المخالف بدفع مبلغ وقدرة (500000) نصف مليون دولار قيمة شرط جزائي تدفع للطرف الأخر بلا تنبيه أو إنذار مع سريان العقد فى كل بنوده, علما بأن تنفيذ هذا الشرط وتقاضى الشرط الجزائي لا يحتاج إلى حكم القضاء بصدده.
سابع عشر :- فى حالة حدوث نزاع بين كطرفي هذا العقد لأى سبب من الأسباب يكون الاختصاص القضائي لمحاكم الإسكندرية التابعة لجمهورية مصر العربية على اختلاف درجاتها واختصاصاتها.
ثامن عشر : - تحرر هذا العقد من ثلاث نسخ والنسخة الوحدة مكونة من ثلاث ورقات ومزيلة بتوقيع طرفى العقد, بيد كل طرف نسخة للعمل بها والنسخة الثالثة تودع بمقر بوزارة الزراعة المصرية.

Contract of Supply and agency
On the day ___, corresponding to __/__/2008 this contract is written between each of:
1- First Party: - Mr. ……………….
2- Second Party: - Mr. ……………….
The parties hereto declare that they have legal capacity to enter into this contract and agree about the following:
Preamble
The first party owns automatic Butchery in Republic of India in…………. City, this Butcher supplies experts and Indian meat to several countries including Arab Republic of Egypt by the approval agencies of the Butchery. The Butchery doesn't supply or expert these meats except by his agency in the importer country. According to the interest of the first party to make a Supply contract and exclusive agency with the second party to be the only agent for the first party inside Arab Republic of Egypt, and the only importer of meat imported into Egypt by first party Butchery which supply butchered Hindi meat to Egypt from him alone without any one else throughout the duration of validity of this contact according to the applicable Egyptian and Indian laws, so they agreed upon conclude a agency and supply contract between each other according to the following conditions:
First: the above Preamble is an integral part of this contract and rules of his rest items.
Two: the two parties should agreed upon the second party is the only approved agent for the first party inside Arab Republic of Egypt. The second party only without any one else - inside the Arab Republic of Egypt, who have the entry right of meat from butchery of the First Party in India to Egypt.
Three: the two Parties agreed to not be allowed to the first party or who represent him to empower another party to supply the Indian meat of the first party butchery to Egypt except the second party as long as the power of attorney is valid and as long as the contracting with the second party hasn't been cancelled by the parties. It isn't allowed also to the first party to export meat to Egypt except by the second party.
Four: the first party commits to supply butchered Indian meat to the second party according to dates, conditions and quantities agreed and accepted between parties of this contract.
Five: the second party commits to pay the entire exported meat price from the first party after arrival shipment papers and documents to the second party.
Six: the second party commits to receive exporter meat from the first party after arrival of the meat to Egyptian port. If the second party delays to receive this meat after their arrival to Egyptian port, the second party only bears value of any damage or corruption in the commodity as long as this damage is due to delaying of the second party to receive the exported goods from the first party with committing of the second party to pay full price as shown in the previous item.
Seven: it is not allowed to the first Party to deal or supply of Indian meat to Egypt by another person except of the second party. In case of violating the first party to this item, he commits to pay fine of (100 $) one hundred dollars for every ton entering Egyptian territory supplied by another person than the second part ( just entering a shipment of meat from first party to Egypt by another person or company other than the other party is considered proof not be proven the contrary violating of the first party to ban entry of meat and empowered other person except the second party) with the validity of this contract in all items, with the right of the second party to turn to court for suitable compensation due to violating of the first party to the items of this contract.
Eight: the second party is entitled to export part of the supplied shipment from the first party by a name of other importer inside the Arab Republic of Egypt provided that this right is confined to the second party alone without the first party.
Nine: the Second party is committed to accept any amount of meat offered by the first party, if the first party sends excessive amounts of meat to the second party, the second party isn't allowed to refuse receiving these quantities or refusing or delaying the payment after arrival of shipment Bond as mentioned on the fifth item.
Ten: the Second party commits to maintain trade name or brand reputation of the first party and preserve physical and moral rights of the first party.
Eleven: it is not allowed to the second party to return any quantity of meat from the first party or part of it for any reason except in case of health refusal by the Egyptian authorities. In this case the first party commits to return the paid price of goods to the second party with bearing of all expenses related to export to India or sending other similar quantities that was rejected by Egyptian authorities .the second party commits to implement all the assumed obligations without delaying as agreed between both parties.
Twelve: This contract applies as long as the laws within the Arab Republic of Egypt and Republic of India allow the import and export of Indian meat to Egypt. In case of issuance a decree of the Egyptian government to stop the importation of Indian meat and of Indian government decree to stop exporting meat to Egypt, it should be stopped of this contract for the duration of stopping exchange because of the government decrees of that. If importing has been resumed by Egypt and exporting by India, In this case work will be resumed again with this contract between two parties of the same conditions and terms in this contract. The same if - a disease or epidemic affecting livestock in India lead to stop exporting or importing of butchered imported cattle from India.
Thirteen: it is not allowed to cancel this contract or fixed agency according to that except by written and expressly acceptance of the two parties. It is not allowed to one of the parties to cancel this contract individually. In the case of agreement to terminate this contract, it shall be cancelled by the written agreement between them.
Fourteen: each party commits to implement all contract items according to the dealer customs between them and according to international and applicable customs in this field. It is not allowed to any party to violate present of any item of this contract or delay in implementation.
Sixteen: In case of violation or vacate any party of the parties of this contract the violated party is committed to pay the amount of $ (500000) half a million dollars value as penalty clause paid to other party without warning with applicable of contract of all its items, the implement of this requirement and litigation Penalty clause does not require a court's judgment is involved..
Seventeen: In case of dispute between the parties of this contract for any reason the jurisdiction is be to Alexandria courts of Egypt at different degrees and terms.
Eighteen: it shall be make three copies. Each one is consist of three papers and remover parties signing the contract, however each version of action and copy the third deposit at the Egyptian Ministry of Agriculture:
