Terms and Conditions for Bulk Payments
These terms and conditions apply to ProZ.com users who utilize ProZ*Pay's bulk payment options and complement the general ProZ*Pay terms and conditions.
1. Flexibility of Use
1.1 No Contracts: The bulk payment feature is governed solely by these terms and conditions; no additional contracts are required.
1.2 No Fixed Fees or Penalties: Payers are not committed to use the bulk payment feature. Its use can be discontinued at any time without fixed fees or penalties.
1.3 Pay Any Number of Professionals: There is no fixed or minimum number of recipients, and Payers may submit payrolls with one or more recipients.
1.4 No Minimum Payment: There is no fixed or minimum amount of money to be paid, and Payers may submit payments of as little as cents. Please note there may be minimums based on the Payees’ preferred payment methods.
1.5 Choose Your Own Payment Terms: There is no required time frame or date for payments. Payers may schedule payments based on the company's needs.
1.6 Pay Unregistered Professionals: Payees will not be required to register an account at ProZ.com in order to claim their payment(s).
2. Scheduling Bulk Payments
2.1 Provision of Payment Instructions: The Payer must provide accurate payment instructions to the Service in CSV format, including:
Name of Payees
Contact email of Payees
Amount to be paid
Currency
Date of payment
Who is covering the convenience fee
2.2 Methods of Submission: Payment instructions must be provided in a CSV spreadsheet (using the Service's standard template) via email to [email protected].
2.3 Submission Deadline: Payment instructions for bulk payments must be received by the Service at least five (5) business days prior to the earliest instructed date of payment.
2.4 Discrepancies in Payment Amounts: The Service is not responsible for discrepancies between instructed and expected payment amounts or dates. Payees should contact the Payer directly to resolve these.
3. Funding Bulk Payments
3.1 Receiving Invoicing: ProZ*Pay will invoice the Payer within one business day of receiving payment instructions.
3.2 Funding Responsibility: The invoice must be settled at least three (3) business days before the earliest payment date.
3.3 Temporary and Permanent Restriction from the Service
3.3.1 Release of Payments: Payments may be held by the Service past the due date if funds from the Payer are not received.
3.3.2 Disputed Funding: Certain payment services allow Payers to dispute the funding transactions they send. Payers who dispute a funding after the payment has already been withdrawn by the Payee will not be allowed to continue using the Service. Additionally, they may be subject to a non-payment report on their Blue Board record if applicable.
4. Benefits for Regular Payroll Payers
4.1 What is a Regular Payroll Payer: While all ProZ.com users can use ProZ*Pay’s bulk payment feature, those who become Regular Payroll Payers enjoy exclusive benefits to make their payment experience seamless.
4.1 Requirements: To become a regular payroll payer and receive benefits, companies must:
Submit payment instructions monthly for four consecutive months
Pay invoices on time
Have a Business membership

5. Special Convenience Fee Pricing
5.1 Nature of Benefit: The Service's upfront convenience fee covers support, onboarding, and fund transfer costs. Regular Payroll Payers may receive discounted fees based on their specific characteristics.
5.2 Table of Special Convenience Fee Pricing:

5.3 Termination of Special Convenience Fee Pricing: If the Payer has four months in a row without meeting special pricing standards, then the lowered fee is discontinued.
6. Early Withdrawal
6.1 Nature of Benefit: Payees can request early withdrawal of earnings from Regular Payroll Payers for a moderate fee.
6.2 Eligibility: Payment instructions must be provided by the Payer at least seven (7) business days before the payday.
6.3 Processing: Early withdrawals are processed within one (1) business day of being requested and are subject to regular processing times.
7. Flexible Funding Terms
7.1 Nature of Benefit: Regular payroll payers may be able to fund payments after the payday under alternative terms agreed upon with ProZ*Pay.
7.2 Funding Terms: Options include:
Funding bulk payments ahead of payday, and all monthly individual payments on the first business day of the following month.
Funding all payments scheduled during a month on the first business day of the following month.
7.3 Receiving Invoicing: ProZ*Pay will invoice the Payer in the stipulated funding date.
7.4 Funding Responsibility: The invoice must be settled within three (3) business days.
7.5 Late Funding: Late funding incurs a 0.05% daily penalty. Habitual late funding may result in payment dates not being honored and flexible funding terms being revoked.
7.6 Outstanding Invoices: Payers with an outstanding invoice of over fifteen (15) days cannot use the Service until the invoice is settled, and may receive a non-payment report on their Blue Board record if applicable.
8. W-9 Collection and 1099 Issuing
8.1 Nature of Benefit: For US-based Payers, ProZ*Pay will collect W-9s and issue 1099s.
8.2 Recipient Eligibility: 1099s are issued to US residents earning $600 or more in the tax year.
8.3 Payer Responsibility: The Payer must provide a report of all US-based recipients at the end of the corresponding tax year.
8.4 Retroactive Collection: W-9 collection for new regular payroll payers starts in the current tax year.
9. Amendments to the Terms
9.1 Notice: ProZ*Pay reserves the right to modify these Terms at any time. Any changes will be duly communicated to ProZ*Pay users through the Service or via email.
9.2 Continued Use: Continued use of the Service after the effective date of amendments constitutes acceptance of the updated Terms.
