Instead, we say "to adopt the report [and accounts]" and that amounts to the same thing - the whole Company of shareholders has accepted the report and accounts, thus implicitly taking responsibility. My dictionaries all offer elaborate paraphrases such as "that the board of directors be discharged from liability for their administration of the company" or "discharge of the directors from all personal liability in respect of the period covered by the annual report" |
