I think this is probably an srl and not an spa and the conventional translation is quota. However, if it is an Spa then use share and shareholder.

Basically the profits are distributed among the shareholders on the basis of their "right to participate in profits", but you don't say that in English, you say on the basis of "the percentage of shares held". The more shares you have the more profit you get.

not sure without the context, i.e. beginning of sentence, but I'm presuming it's saying that any profits should be registered as profits on the balance sheet unless the shareholders decide to transfer them to the reserve. Wait for confirmation from a fin/com expert, though

neutral  James (Jim) Davis: Sorry Simon I really should disagree. 1) you recognise profits you don't register them. 2) Once you have recognised them (in P&l) you can either distribute them or retain them by allocating them to a reserve (the reserve is in the balance sheet).
