Seller shall... permit Buyer and its representatives reasonable access, upon reasonable advance notice and during normal business hours, to employees, the properties, books and records of the Company and any of its Subsidiaries to make reasonable investigation of the Company. Any such access shall at all times be managed by and conducted through those representatives of the Company identified by the Company, and Buyer shall cooperate with Seller and its and the Company’s respective representatives and shall use reasonable efforts to minimize the disruption of the business or operations of the Company. Notwithstanding anything herein to the contrary, such access given to Buyer or any of its representatives need not be permitted to the extent that it may require Seller, the Company or any of its Subsidiaries or any of their respective Affiliates to (i) disclose any information subject to attorney-client or other legal privilege or (ii) disclose any information in violation of any Legal Requirement or in violation of any confidentiality obligation to which any of them are bound;

Такой доступ может быть не предоставлен* Покупателю или каким-либо его представителям, если это может потребовать от Продавца, Компании или... (i) предоставить конфиденциальную информацию или иную информацию, защищенную адвокатской тайной или (ii) предоставить любую информацию в нарушения какого-либо Законного требования...

Слово to permit употребляется здесь в следующем значении: to consent to expressly or formally https://www.merriam-webster.com/dictionary/permit
Т.е. предоставлять (в значении "разрешать") доступ или же отказать (не дать розрешение) в доступе
