In einem Asset Purchase Agreement aus den USA taucht unter anderem der Begriff "A/R Payable Amount" auf.
Die Definition dafür lautet:

"“A/R Payable Amount” means the amount of all funds actually received by Seller under clause (i) of the definition of “Accounts Receivable”."

Und hier die Definition von "Accounts Receivable":

"“Accounts Receivable” means (i) all accounts receivable of Seller set forth on Exhibit X and all funds actually received by Seller in respect thereof through the Closing, and (ii) all other accounts receivable of Seller that are earned on or after the LOI Effective Date through the Closing relating to or arising from the Purchased Assets that are not collected by Seller prior to the Closing, other than the Excluded Accounts Receivable."

Grundsätzlich habe ich auch mal ein Semester Buchhaltung belegt, aber hier steige ich nicht durch...
A/R sind doch (noch nicht bezahlte) Forderungen, aber hier sind diese bereits bezahlt ("the amount of all funds actually received")?
