An arrangement whereby a security issue is cancelled if the underwriter is unable to resell the entire issue.

"All-or-none underwriting" odnosi se prvenstveno na potencijalne kupce izdanja, budući da potencijalni investitori moraju znati unaprijed da bi izdavatelj možda mogao ili će sigurno otkazati izdanje ako ne proda onoliko (vr. papira) koliko (sredstava) želi prikupiti. Napominje da ne postoji paralelizam između hrvatske i anglo-saksonske prakse, koja time i pokrovitelju izdanja (engl. underwriter) omogućuje da ne mora kupiti ostatak neupisanih vrijednosnih papira ako upis ne uspije u cijelosti.
