Source text - French Comme on le sait, pour obtenir une stérilisation correcte, il est fondamental et important de connaître la charge microbienne initiale d’un instrument soumis à la stérilisation. En général une charge microbienne égale ou inférieure à 10² CFU/100 cm² (CFU = unités formant des colonies) est compatible avec les procédés de stérilisation les plus communs comme par exemple la stérilisation au moyen de vapeur saturée, vapeur chimique, oxyde d’éthylène, etc. Malheureusement l’emploi de la procédure d’évaluation de la population de micro-organismes sur le produit (normes de référence (UNI EN 1174-1, 2 et 3), la compétence nécessaire, de même que les structures nécessaires pour détecter le bioburden, sont difficilement compatibles avec l’activité d’un cabinet dentaire. Pour cette raison, quand il est impossible de trouver le bioburden initial des instruments qui seront stérilisés, il est fondamental et important que la procédure de stérilisation commence, virtuellement, au moment de la préparation de la décontamination. Seul le respect des phases précédant la stérilisation garantit effectivement une charge microbienne initiale basse, et par suite la probabilité de tuer tous les micro-organismes présents augmente de façon significative. Il reste de toute façon indispensable de confirmer et de vérifier la stérilisation.
D’autre part une « déclaration du bioburden » fournie par le fabriquant serait aussi une indication tout à fait inutile. En effet même si les emballages sont conçus pour garder un niveau de propreté acceptable, les instruments réutilisables sont mis sur le marché dans des confections qui ne sont pas nécessairement scellées ; de plus celles-ci sont soumises à des manipulations répétées pendant le transfert entre le fabriquant et le grossiste et entre le grossiste et le dépôt ou le cabinet dentaire ; ces confections peuvent être examinées de la part d’opérateurs commerciaux ou sanitaires, et sont aussi soumises à différents changements des conditions ambiantes de leur stockage temporaire.
La décontamination est une opération qui comprend quatre procédés : la préparation à la Désinfection et Nettoyage, le Nettoyage, la Désinfection et le Séchage.
Translation - English As is known, to obtain successful sterilization, is essential and important to be aware of the initial microbial load of an instrument subject to sterilization. In general, a microbial load less than or equal to 10² CFU/100 cm² (CFU = colony forming units) is compatible with the most common sterilization procedures, such as sterilization with saturated steam, chemical steam, ethylene oxide, etc. Unfortunately, the use of the procedures to evaluate the population of microorganisms on the product (reference standards UNI EN 1174-1, 2 and 3), the necessary capabilities, and the structures necessary to detect the microbial load are quite incompatible with the operation of a dental practice. For this reason, when it is impossible to determine the initial microbial load of the instruments that will be used, it is essential and important that the sterilization procedure potentially start at the time of preparation for decontamination. Only by respecting the stages prior to sterilization is a low initial microbial load effectively guaranteed; therefore, the likelihood of killing all microorganisms present increases drastically. On the other hand, the “declaration of microbial load” provided by the manufacturer is by no means a useful indication. In reality, even if the packaging is designed to maintain an acceptable level of cleanliness, reusable instruments are put on the market in manufacture packaging that is not necessarily sealed; moreover, they are subject to repeated manipulations during the transfer between the manufacturer and the wholesaler and between the wholesaler and the warehouse or the dental practice. This packaging may be examined by business or health operators, and is also subject to different changes in ambient conditions during its temporary storage.
Decontamination is an operation that consists of four procedures: Preparation for Disinfection and Cleaning, Cleaning, Disinfection, and Drying.

Source text - French ARTICLE 1 - PROPRIETE INTELLECTUELLE
Company ABC est et restera le propriétaire exclusif de l’ensemble des droits de propriété intellectuelle sur la Technologie, notamment liée au RTB, qu’il a développé et notamment de l’ensemble des logiciels informatiques mis à la disposition du Client.
Company ABC et le Client restent, respectivement, propriétaire des droits relatifs aux éléments technologiques, savoir-faire, marques, logotypes, images, photographies, textes etc… dont ils sont titulaires et mis à la disposition de l’autre dans le cadre du Contrat.
Le Client accorde à Company ABC une licence, non exclusive et mondiale d’utilisation sur la/les marque(s), logo(s), nom(s) commerciaux, logotype, visuels, Contenu Publicitaire et représentations de Produits du Client, tout ou partie du site Internet du Client aux fins d’exécution des Prestations commandées et ce pour une durée limitée à celle prévue dans l’OI, conformément à l’Article 4.
Company ABC accorde au Client une licence non exclusive d’utilisation sur le logiciel « Company ABC INSIGHT » mis à sa disposition dans les termes des Conditions Générales d’Utilisation dudit logiciel disponibles sur le site Internet insight. Company ABC.fr et auxquelles le Client déclare avoir consenties sans réserve.
ARTICLE 2 - MANDAT
Pour les besoins des Prestations, le Client confie à Company ABC un mandat pour agir en son nom et pour son compte dans le cadre de la campagne marketing mis en place pour celui-ci, dont notamment pour collecter, traiter, gérer les Données Personnelles de tiers en son nom et dans les limites des termes du Contrat.
Ce mandat couvre notamment toutes les actions que peut entreprendre Company ABC pour assurer ses fonctions en tant que « Trading Desk » pour le nom et pour le compte du Client.
Dans le cadre de l’exécution des Prestations commandées, le Client autorise Company ABC à utiliser et reproduire la/les marque(s), logotype et autre signe distinctif du Client pour toute communication interne ou externe, promotionnelle ou publicitaire sur quelque support et par quelque moyen que ce soit et ce, jusqu’au terme du Contrat.
ARTICLE 3 - GARANTIES
Le Client déclare être titulaire ou concessionnaire de l’ensemble des droits de propriété intellectuelle relatif au Contenu Publicitaire intégré par Company ABC sur les sites Internet édités par des tiers.
Le Client garantit de façon absolue Company ABC que le Contenu Publicitaire proposé par le Client, ne porte pas atteinte aux droits de tiers, notamment de propriété intellectuelle (brevet, marque, droit d’auteur, dessin et modèle), de la personnalité (droits à l’image de tiers, droit à l’intimité de la vie privée, droit sur le patronyme), droit à l’image des biens, et qu’ils ne sont dès lors pas constitutifs d’actes de contrefaçon de droits de propriété intellectuelle et/ou d’actes de concurrence déloyale et/ou de violations d’obligations contractuelles de quelque sorte que ce soit.
En conséquence, le Client s’engage à relever et garantir Company ABC indemne de toute revendication, action judiciaire ou extrajudiciaire et/ou de toute condamnation de quelque nature que ce soit qui pourraient être prononcée à son encontre ou à l’encontre de l’un de ses salariés, mandataire social, filiale, maison mère, prestataire de services, du fait du Contenu Publicitaire ou tout documents ou toute informations transmises par le Client à Company ABC, notamment en cas de violation des dispositions du présent Article. Company ABC ne saurait en aucun cas être tenu responsable de la non-atteinte des objectifs dans les délais définis sur l’OI.
Le Client est seul responsable des informations et documents qu'il fournit à Company ABC en vue de la réalisation des Prestations commandées.
ARTICLE 4 - CONFIDENTIALITE
Les Parties s’engagent à tenir strictement confidentielles les informations échangées entre eux dans le cadre de la réalisation des Prestations.
Sont réputées confidentielles au sens du présent article toute information(s) de toute nature, technique, financière, commerciale ou comptable, toute donnée(s), étude(s), audit(s), savoir-faire(s) ou expérience(s) communiquée(s) par les Parties, quels qu’en soient la forme, le support ou le moyen incluant notamment les communications orales, écrites ou fixées sur un support quelconque, se rapportant directement ou indirectement à la réalisation des Prestations, et ce y compris l’ensemble des documents contractuels conclus entre les Parties.
Les Parties s’interdisent en conséquence de divulguer tout ou partie des informations confidentielles précitées à l’égard de tous tiers, notamment tout sous-traitant, client ou conseil, sans l’accord préalable écrit de l’autre Partie.
En toute hypothèse, les Parties se portent fort du respect de ses obligations par son personnel ainsi que tout tiers tel que visé au présent article.
Translation - English ARTICLE 1 - INTELLECTUAL PROPERTY
Company ABC is and will remain the exclusive owner of all intellectual property rights over the Technology, in particular related to RTB, which has been developed, and in particular over all software provided to the Customer.
Company ABC and the Customer remain the respective holders of rights relating to technological elements, know-how, brands, logos, images, photographs, texts, etc., of which they are the owner and which they have provided to the other within the scope of the Contract.
The Customer grants Company ABC a nonexclusive and global license for the use of the brand name(s), logo(s), trade name(s), logotype, visual supports, Advertising Content, and representations of the Customer’s Products, in all or in part, from the Customer’s website for the purpose of the execution of the Services ordered and for a duration limited to that which is established in the IO in conformity with Article 4.
Company ABC grants the Customer a nonexclusive license to use the software “Company ABC INSIGHT” provided to it as per the terms of the General Conditions of Use of the aforementioned software available on the website insight. Company ABC.fr and to which the Customer must declare its consent without restrictions.
ARTICLE 2 - MANDATE
For the needs of the Services, the Customer grants Company ABC a mandate to act in its name and on its behalf in the context of the marketing campaign implemented by it, in particular to collect, process, and manage the Personal Information of third parties in its name and within the limits of the terms of the Contract.
In particular, this mandate covers all of the actions that Company ABC may undertake to ensure its functions as a “Trading Desk” in the name of and on behalf of the Customer.
In the context of the execution of the Services ordered, the Customer authorizes Company ABC to use and reproduce the brand(s), logo, and other distinctive signs of the Customer for any internal or external communication whether for promotional or advertising purposes, over any format and by any means, for the duration of the Contract.
ARTICLE 3 - GUARANTEES
The Customer declares that it is the owner or the assignee all intellectual property rights for the Advertising Content included by Company ABC onto the websites edited by third parties.
The Customer absolutely guarantees Company ABC that the Advertising Content proposed by the Customer does not infringe on the rights of third parties, and in particular intellectual property rights (patents, brands, ownership rights, design and model), personality rights (right to the image of third parties, right to privacy, patronym rights), rights to the image of goods, as well as guarantees that from that point on, that they do not constitute acts which infringe on intellectual property rights and/or acts of unfair competition and/or violations of contractual obligations of any type.
As a result, the Customer commits to release Company ABC of all liability for claims, legal or civil suits and/or any type of condemnation that may be pronounced against it or against one of its employees, company representatives, subsidiaries, parent company, service provider, due to the Advertising Content or any documents or information transmitted by the Customer to Company ABC, in particular in the event of the violation of the provisions of the present Article. Under no circumstances will Company ABC be liable for failure to obtain objectives within the time periods defined on an IO.
The Customer is exclusively responsible for the information and documents that it provides to Company ABC in view of the execution of the Services ordered.
ARTICLE 4 - CONFIDENTIALITY
The Parties commit to maintain the information exchanged between the two of them as a part of the execution of the Services strictly confidential.
Under the present article, confidentiality applies to all information of any nature, whether technical, financial, business, or accounting information, regardless of its form, format, or medium, including in particular oral or written communication and/or communication established by any means, which is directly or indirectly related to the provision of the Services, including all contractual documents concluded between the Parties.
The Parties prohibit one another from divulging all or part of the confidential information cited above to any third parties, and in particular to any subcontractors, customers, or advisors, without the prior written authorization of the other Party.
Under all circumstances, the Parties will require their staff as well as any third parties to respect these obligations as established by the present Article.
