a reference to an amendment includes a supplement, novation, restatement or re-enactment and amended will be construed accordingly;
words importing the plural shall include the singular and vice versa, and words importing a gender include every gender;
references to a person shall be construed as including references to an individual, firm, company, corporation, unincorporated association or body of persons and any Government Entity, whether or not having separate legal personality and references to any Party or other person shall be construed so as to include the successors, permitted assignees and permitted transferees of the relevant Party or other person;
references to any provision of law is a reference to such provision as applied, amended, extended or re-enacted and includes any subordinate legislation;
a reference to an approval shall be construed as a reference to any approval, consent, authorisation, exemption, permit, licence, registration, filing or enrolment by or with any competent authority;
a reference to including shall be construed as a reference to including without limitation, so that any list of items or matters appearing after the word "including" shall be deemed not to be an exhaustive list, but shall be deemed rather to be a representative list, of those items or matters forming a part of the category described prior to the word "including";
a Default, Event of Default, Relevant Event or Termination Event is continuing if it has not been remedied or waived;
control means, in relation to a company or entity, either ownership of more than 50 per cent. of the voting share capital (or equivalent right of ownership) of such company or entity or power to direct its policies and management, whether by contract or otherwise (provided that the Borrower shall not be deemed to be controlled by, or a Subsidiary of, the Security Agent (or its nominee) as a result of the rights of the Security Agent under the Relevant Documents or otherwise);

Third party rights
Unless expressly provided to the contrary in this Agreement, a person who is not a Party has no right under the Third Parties Act to enforce or to enjoy the benefit of any term of this Agreement.
Each Indemnitee shall be entitled to enforce each provision of this Agreement as is expressed to be in its favour, subject to complying with any express condition relating specifically to such provision.
The consent of any person who is not a Party is not required to rescind or vary this Agreement at any time.
Guarantee and indemnity
Subject to clause 2.3, the Guarantor irrevocably and unconditionally:
guarantees to each Senior Finance Party the punctual payment, performance and discharge of all Obligations;
undertakes with each Senior Finance Party that, whenever the Borrower does not pay, perform or discharge any of the Obligations when they become due for payment, performance or discharge, it will immediately on demand do so itself, as if it were the principal obligor; and
agrees as a primary obligation to indemnify each Senior Finance Party from time to time on demand from and against any Loss incurred by that Senior Finance Party as a result of any Obligation or Obligations being or becoming void, voidable, unenforceable or ineffective as against the Borrower for any reason whatsoever, whether or not known to any Senior Finance Party, the amount of such Loss being the amount which that Senior Finance Party would otherwise have been entitled to recover from the Borrower.
The Guarantor will pay interest on each amount demanded of it under this Agreement from the due date until payment (after as well as before judgment) at the Default Rate.
The maximum aggregate liability of the Guarantor under clause 2.1 (calculated on an after-Tax basis) is the aggregate of:
USD 26,000,000.00; and
an amount equal to the aggregate of (i) all Losses suffered or incurred by the Relevant Parties as a result of the occurrence of any Default (including in connection with any ....debt rescheduling in respect of ....) and (ii) interest payable under the Relevant Documents to any Senior Finance Party at the Default Rate.

1.1interprétation Définitions
Dans le présent Accord (qui est la «garantie de premier rang» (visée à l'Accord de prêt Senior) relatifs à l'....), les termes utilisés capitalisés mais non définis dans le présent Accord ont les significations respectives qui leur est donné dans l'Accord de prêt senior ou, si non définie, dans le bail ou le bail connexe, le cas échéant (dans chaque cas, y compris par référence à un autre document) .....
et: signifie l.... déféré a la page couverture du présent Accord;
Droit signifiant applicable:
par rapport à toute juridiction ou de l',,,,, toute loi, réglementation, traité, directive, décision, règle, une exigence réglementaire, jugement, ordonnance, demande d'ordonnance, directive ou direction ou tout autre acte de toute entité gouvernementale de telle juridiction ou de toute institution de l'.. ayant ou non force de loi et avec lequel toute partie concernée, le locataire ou l'expéditeur est tenu de respecter, ou avec lequel il serait, dans la normale cadre de ses activités, conforme; par rapport au
prêteur principal, toute Bâle ou règlement ou de Bâle règlement auquel ce prêteur principal est sujet ou dont il serait, dans le cours normal de ses activités, se conformer;
sanctions applicables désigne tout économiques, commerciaux ou des sanctions financières, les règlements, les embargos ou des mesures similaires adoptées, administré, imposées ou appliquées par toute Autorité des sanctions et prévoit des sanctions ....
Emprunteur signifie ......... activité désignée, une société établie en vertu des lois de..... et son siège bureau au...
Sanctions .....signifie toutes les lois ....applicables en matière de sanctions et de contrôles à l'exportation (toutes ces lois applicables actuellement en vigueur, toutes ces nouvelles lois applicables en vigueur dans l'avenir ou que chaque modifiée de temps à autre), que ce soit en vertu de la Loi sur ...., les mesures économiques spéciales Loi, exportation et d'importation Loi, blocage des biens de loi d'étranger de fonctionnaires corrompus, du Code criminel, la Loi sur la production de défense, des produits de la criminalité (blanchiment d'argent) et le terrorisme permettait Loi sur le financement, la Loi anti-terroriste ou de toute autre loi ,....semblable ou d'un règlement;
bail de Connexe au sens donné à ce terme dans le bail;
Agence Gouvernement désigne toute entité gouvernementale ou ...;
Documents des moyens garantis veut dire les documents présents de l’Accord et chaque confirmation fournie par le Expéditeur en vertu de l'article ...;.... la Banque i...pour la reconstruction et le développement;
... signifie que le Fonds monétaire international;
Lease désigne le contrat des avions de location exécuté ou qui vont être exécutés (en forme et de fond acceptable pour l'agent principal de l'installation) entre l'Emprunteur et le locataire par lequel l'Emprunteur a accepté ou acceptera le bail, et le locataire a accepté ou acceptera de prendre à bail, de l....
locataire signifie ...., une société constituée en ..........................et dont le siège social est situé ...
effet défavorable important signifie un effet défavorable important sur les actifs ou la situation financière du Garant ou sa capacité à remplir ses obligations en vertu du présent Accord;
Obligations signifie chacune et toutes les obligations de l'emprunteur due à une Partie haut fonctionnaire de Finance de temps à autre en vertu de l'Accord de prêt principal (y compris, pour éviter tout doute, la clause .... ( b)(Exécution de l’'obligation)de celui-ci) et d'autres documents du Parti de l'emprunteur;
désigne une Partie Une Personne présent au présent Accord;
droit désigne tout droit, privilège, de pouvoir ou de l'immunité, ou de tout intérêt ou recours, de toute nature, que ce soit personnel ou les sanctions
propriétaires,Autorité désigne tout ce qui suit (ou toute autre institution ou agence gouvernementale de l'un des suivants, y compris le Département l,,,du Bureau du Trésor du contrôle des .... étrangers):

Senior Finance Parties signifie l'agent principal de l'établissement, l'agent de sécurité et les prêteurs haut fonctionnaire (dans chaque cas, que plus particulièrement définis dans l'Accord de prêt senior); de l'Accord
de prêt majeur signifie l'accord de prêt de premier rang daté le ou vers la même date que le présent Accord entre l'Emprunteur et ... (dans ses capacités que les financer les partis supérieurs respectifs) dans laquelle le principal prêteurs ont accepté de faire des financements disponibles à l'Emprunteur pour financer (entre autres) dans le cadre de son achat de d'une clause d',,,.

1.3 Dans le présent Interprétation -Accord,
à moins d'une indication contraire apparaît:
1.3.1.les références aux clauses et annexes doivent être interprétées comme des références aux clauses et les annexes à, présent Accord et des références au présent Accord inclure ses annexes;
1.3.2 références à (ou à toute disposition précisée de) présent Accord ou tout autre document doit inclure le présent accord, ce document ou de la disposition pertinente comme il peut de temps à être modifié, mais de telle sorte que ce qui précède est sans préjudice de toute obligation dans tout document pertinent que le consentement préalable de toute partie être obtenue;
1.3.3.une référence a une modification comprend un supplément, l'innovation, le retraitement ou la reconstitution modifié sera interprétée en conséquence;
1.3.4 les mots au pluriel inclut une version singulier et nouveau et mots indiquant un genre incluent tous les genres;
1.3.5 des références à une personne doivent être interprétées comme y compris les références à un individu, une entreprise, une société, une association non constituée en société ou groupe de personnes et toute entité gouvernementale, si doté de la personnalité juridique distincte et des références à une partie ou une autre personne ou non doit être interprétée de façon à inclure les successeurs, cessionnaires autorisés et autorisé cessionnaires de la Partie concernée ou toute autre personne;
1.3.6 les références à une disposition de la loi est une référence à cette disposition appliquée, modifiée, prolongée ou remise en vigueur et comprend toute législation subordonnée;
1.3.7 une référence à un agrément doit être interprétée comme une référence de toute approbation, le consentement, l'autorisation, l'exonération, permis, immatriculation, enregistrement, dépôt ou d'inscription par ou avec toute autorité compétente;.....

My medical experience comes from doing a 20000 word medical survey and now interpreting for medical doctors every day as a contractor for the companies listed .
I charge 6.5 cents per word and work in Google docs downloaded as a pdf.. I charge .30 per telephone minute for interpreting and if over one hour charge $1.00 per minute.
